Common use of Underlying Documents Clause in Contracts

Underlying Documents. All documents listed or described in the Company Disclosure Letter and furnished to Parent are true and complete copies, and there are no amendments or modifications thereto, except as expressly noted in the Company Disclosure Letter in which such documents are listed or described. The minute books of the Company and each Company Subsidiary contain accurate records of all corporate actions taken by the directors and shareholders of the Company and each Company Subsidiary.
