Use of Grant. 4.1 The Grant shall be used by the Recipient for the delivery of the Project in accordance with the agreed budget set out in Schedule 3. 4.3 The Recipient (c) No Party shall not use the Grant Funding to:
(ai) make any payment to members of its Governing Body;
(bii) purchase buildings or land; or;
(ciii) pay for any expenditure commitments of the Recipient Party entered into before the Commencement Date; or
(iv) pay for, subsidise or promote any activity other than those required as Inputs for the Project and directly associated costs unless this has been approved in writing by Selnet after consultation with the FunderStrategic Management Board.
4.4 The Recipient (d) No Party shall not spend any part of the Grant Funding on the delivery of the Project after the Grant PeriodProject Period unless this has been approved in writing by Selnet after consultation with the Strategic Management Board.
4.5 (e) Should any part of the Grant Funding remain unspent at the end of the Grant Project Period, the Recipient each Party shall so far as it is able shall ensure that any unspent monies are returned to the Funder or, if agreed in writing Selnet to be dealt with as determined by the Funder, shall be entitled to retain terms of the unspent monies to use for charitable purposes as agreed between the partiesFunding.
4.6 (f) Any liabilities arising at the end of the Project including any redundancy liabilities for staff employed by the Recipient a Party to deliver the Project must be managed and paid for by the Recipient relevant Party using the Grant or other resources of the RecipientParty. There will be no additional funding available from Selnet for this purpose and the Funder Funding may not be used for this purpose.
(g) Each Party shall act in accordance with all guidance and rules relating to equality, diversity, sustainability or other objectives relating to the application of Funding as promulgated from time to time.

4.5 Should any part of the Grant remain unspent at the end of the Grant Period, the Recipient shall ensure that any unspent monies are returned to the Funder or, if agreed in writing by the Funder, shall be entitled to retain the unspent monies to use for charitable purposes as agreed between the parties.
4.6 Any liabilities arising at the end of the Project including resolving snagging issues, ongoing maintenance and any redundancy liabilities for staff employed by the Recipient to deliver the Project must be managed and paid for by the Recipient using the Grant or other resources of the Recipient. 4.8 The Recipient agrees to cooperate and act in good faith in the receipt and use of this Grant.
4.9 The Recipient will not do or omit to do anything which would or could put the Funder in breach of the Allocation Conditions and will indemnify and hold the Funder harmless against all losses, costs, claims and demands resulting from a breach of this Clause.

4.6 Any liabilities arising at the end of the Project including any redundancy liabilities for staff employed by the Recipient to deliver the Project must be managed and paid for by the Recipient using the Grant or other resources of the Recipient. There will be no additional funding available from the Funder for this purpose.

Use of Grant. 4.1 The Grant shall be used by the Recipient for the delivery of the Project Purpose in accordance with the agreed budget set out in Schedule 32. For the avoidance of doubt, the amount of the Grant that the Recipient may spend on any item of expenditure listed in column 1 of Schedule 3 0 shall not exceed the corresponding sum of money listed in column 2 without the prior written agreement of the FunderCouncil.
4.2 Where the Recipient has obtained funding from a third party in relation to its delivery of the Project Purpose (including without limitation funding for associated administration and staffing costs), the amount of such funding shall be included in the budget in Schedule 3 0 together with a clear description of what that funding shall be used for.
4.3 The Recipient shall not use the Grant to:
(a) make any payment to members of its Governing Body;
(b) purchase buildings or land; or
(c) pay for any expenditure commitments of the Recipient entered into before the Commencement Date, unless this has been approved in writing by the FunderCouncil.
4.4 The Recipient shall not spend any part of the Grant on the delivery of the Project Purpose after the Grant Period.
4.5 Should any part of the Grant remain unspent at the end of the Grant Period, the Recipient shall ensure that any unspent monies are returned to the Funder ortheCouncilor, if agreed in writing by the FunderCouncil, shall be entitled to retain the unspent monies to use for charitable purposes as agreed between the parties.
4.6 Any liabilities arising at the end of the Project Purpose including any redundancy liabilities for staff employed by the Recipient to deliver the Project Purpose must be managed and paid for by the Recipient using the Grant or other resources of the Recipient. There will be no additional funding available from the Funder Council for this purpose.

4.3 The for any purposes or activities which are unlawful in England and Wales. In addition, the Recipient shall not use the Grant to:
(a) 4.2.1 make any payment to members of its Governing Bodygoverning body;
(b) 4.2.2 make grants to any third parties;
4.2.3 purchase equipment, buildings or landland unless this is specified in Schedule 1; or
(c) 4.2.4 pay for any expenditure commitments of the Recipient entered into before the Commencement Date, unless this has been approved in writing and in advance by the Funder.
4.3 The Recipient may use the Grant to undertake political campaigning and political activity, but only as set out within the Grant Application and to the extent permitted by the laws of England and Wales, in line with the Charity Commission’s Campaigning and political activity guidance for charities1, and in furtherance of the Funder’s charitable objects.
4.4 The Recipient shall not spend any part of the Grant on the delivery of the Project or otherwise, after the end of the Grant Period.
4.5 Should any part of the Grant remain unspent at the end of the Grant Period, the Recipient shall ensure that any unspent monies are returned to the Funder or, if agreed in writing by the Funder, shall be entitled to retain the unspent monies to use for charitable purposes as agreed between the parties.
4.6 Any liabilities arising at the end of the Project including any redundancy liabilities for staff employed by the Recipient to deliver the Project must be managed and paid for by the Recipient using the Grant (where permitted under the agreed budget in Schedule 1) or other resources of the Recipient. There will be no additional funding available from the Funder for this purpose.
4.6 Should any part of the Grant remain unspent at the end of the Grant Period, the Funder may either demand that the unspent monies are returned to the Funder or agree in writing that the Recipient may retain the unspent monies to use for charitable purposes as agreed between the parties.
4.7 The Recipient shall not use the Grant to make any payments which contravene the Bribery Act 2010 or would contravene the Bribery Act 2010 if such payment had been made by the Funder (for the avoidance of doubt the Bribery Act 2010 shall be deemed to apply to the parties to this Agreement for the purposes of this Agreement notwithstanding any provision of that legislation to the contrary).
