Common use of User Content Clause in Contracts

User Content. WRP makes no effort to review any User Content for any purpose, including, inter alia, for accuracy, legality, or non-infringement. WRP is not responsible for any User Content, and you agree that regarding any User Content you provide to WRP that you are solely and exclusively responsible for any liability arising therefrom and that that content may be used lawfully and without restriction by you and WRP. We may, in our sole discretion, permit you to post, upload, publish, submit, or transmit User Content. By making available any User Content on or through the Services, you hereby grant to WRP a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license, with the right to sublicense, use, view, copy, adapt, modify, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, access and view such User Content on, through, or by means of the Services. WRP does not claim any ownership rights in any such User Content, and nothing in these Terms will be deemed to restrict any rights that you may have to use and exploit any such User Content. You represent and warrant that: (i) you either are the sole and exclusive owner of all User Content that you make available through the Services or you have all rights, licenses, consents and releases that are necessary to grant to WRP the rights in such User Content, as contemplated under these Terms; and (ii) neither the User Content nor your posting, uploading, publication, submission or transmittal of the User Content or WRP’s use of the User Content (or any portion thereof) on, through or by means of the Services will infringe, misappropriate or violate a third party’s patent, copyright, trademark, trade secret, moral rights or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation. Notwithstanding the foregoing, should you furnish WRP with photos to be used in connection with any Listing or for any other purpose, you agree that WRP is permitted to edit such photos, and the edited result shall constitute a derivative work that you agree is the sole and exclusive property of WRP and for which you agree that you forfeit any copyright claims against WRP, whether past, present, or future, threatened, or actual.

User Content. You agree that the license granted to us under this Section applies to any User Content onyou previously posted, throughpublished, or otherwise developed on the Platform or in the Services. By posting or sharing User Content with other users of the Platform or the Services in a public portion of the Platform or the Services, or by means setting any of your User Content to public, you grant those users a non-exclusive license to access and use that User Content as permitted by these Terms and the functionality of the Platform and the Services. We are under no obligation to monitor, review, edit, or rights of publicity control User Content that you or privacyother users post or publish, and will not be in any way responsible or liable for User Content. We may, however, at any time and without prior notice, screen, remove, edit, or result block any User Content that in our sole judgment violates these Terms or is otherwise objectionable. You understand that when using the violation Platform or the Services you will be exposed to User Content from a variety of sources and acknowledge that User Content may be inaccurate, offensive, indecent, or objectionable. You agree to waive, and do hereby waive, any applicable law legal or regulationequitable right or remedy you have or may have against us with respect to User Content. Notwithstanding the foregoing, should you furnish WRP with photos to be used We expressly disclaim any and all liability in connection with User Content. If notified by a user or content owner that User Content allegedly does not conform to these Terms, we may investigate (and cooperate with law enforcement in the investigation of) the allegation and determine in our sole discretion whether to remove the User Content, which we reserve the right to do at any Listing time and without notice. YOU WAIVE AND HOLD HARMLESS DELV (AND OUR AFFILIATES, AND OUR AND OUR AFFILIATES’ RESPECTIVE SHAREHOLDERS, MEMBERS, DIRECTORS, OFFICERS, EMPLOYEES, ATTORNEYS, AGENTS, REPRESENTATIVES, SUPPLIERS OR CONTRACTORS) FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES. For clarity, we do not knowingly permit copyright-infringing activities on the Platform or for any other purpose, you agree that WRP is permitted to edit such photos, and through the edited result shall constitute a derivative work that you agree is the sole and exclusive property of WRP and for which you agree that you forfeit any copyright claims against WRP, whether past, present, or future, threatened, or actualServices.

We may, in our sole discretion, permit you to post, upload, publish, submit, or transmit User Content. By making available any User Content on or through the Services, you hereby grant to WRP Tree Vistas a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license, with the right to sublicense, use, view, copy, adapt, modify, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, access and view such User Content on, through, or by means of the Services. WRP Tree Vistas does not claim any ownership rights in any such User Content, and nothing in these Terms will be deemed to restrict any rights that you may have to use and exploit any such User Content. You represent and warrant that: (i) you either are the sole and exclusive owner of all User Content that you make available through the Services or you have all rights, licenses, consents and releases that are necessary to grant to WRP Tree Vistas the rights in such User Content, as contemplated under these Terms; and (ii) neither the User Content nor your posting, uploading, publication, submission or transmittal of the User Content or WRP’s Tree Vistas’ use of the User Content (or any portion thereof) on, through or by means of the Services will infringe, misappropriate or violate a third Third-party’s patent, copyright, trademark, trade secret, moral rights or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation. Notwithstanding the foregoing, should you furnish WRP Tree Vistas with photos to be used in connection with any Listing or for any other purpose, you agree that WRP Tree Vistas is permitted to edit such photos, and the edited result shall constitute a derivative work that you agree is the sole and exclusive property of WRP Tree Vistas and for which you agree that you forfeit any copyright claims against WRPTree Vistas, whether past, present, or future, threatened, or actual.

User Content. However, by sending and/or creating User Content and/or using the Services you automatically grant Chillz a non-exclusive, royalty-free, perpetual license of all worldwide rights to use, edit, modify, include, incorporate, adapt, record and reproduce, publish and make commercial use with such User Content, including, inter aliawithout limitation, all trademarks associated therewith, in any manner whatsoever, in or out of context, in all languages, in all media now known or hereafter created for the purposes set forth in the Services and these Terms, including for the avoidance of doubt commercial, non-commercial and/or promotional use by Chillz associating such User Content with your user information, user name and/or profile picture. Chillz may retain any raw material that you submit or make available through third parties, and make internal or external use of such material including for testing purposes. Chillz may or may not regulate User Content and provides no representations or guarantees regarding the accuracy, legalityquality, or non-infringementintegrity of any User Content posted via the Services. You agree that Chillz will not under any circumstances be responsible or liable for any User Content, and you agree that regarding including, but not limited to, errors in any User Content you provide to WRP that you are solely and exclusively responsible for or any liability arising therefrom and that that content may be used lawfully and without restriction loss or damage incurred by you and WRP. We may, in our sole discretion, permit you to post, upload, publish, submit, or transmit User Content. By making available any User Content on or through the Services, you hereby grant to WRP a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license, with the right to sublicense, use, view, copy, adapt, modify, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, access and view such User Content on, through, or by means of the Services. WRP does not claim any ownership rights in any such User Content, and nothing in these Terms will be deemed to restrict any rights that you may have to use and exploit any such User Content. Chillz reserves the right (but shall at no time be obligated) to, in its sole discretion, remove, block, edit, move, disable or permanently delete User Content (or any portion thereof) on, through or by means of from the Services will infringe, misappropriate with or violate a third party’s patent, copyright, trademark, trade secret, moral rights or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation. Notwithstanding the foregoing, should you furnish WRP with photos to be used in connection with any Listing or without notice for any reason whatsoever. You hereby agree that, to the maximum extent permitted by applicable law, Chillz shall at no time be responsible or held liable for the removal, modification or blocking of material or User Content that may be considered offensive and shall at no time be obligated to effect such removal other purpose, you agree that WRP is permitted to edit such photos, and the edited result shall constitute a derivative work that you agree is the sole and exclusive property of WRP and for which you agree that you forfeit any copyright claims against WRP, whether past, present, or future, threatened, or actualthan under applicable law.

User Content. By making available any User Content on or through using the ServicesWebsite, you hereby grant Swiftco International Corporation and its sublicenses, to WRP a the fullest extent and for the maximum duration permitted by Applicable Law (including in perpetuity if permitted under Applicable Law), an unrestricted, worldwide, irrevocable, perpetualfully sub licensable, non-exclusive, transferable, and royalty-free license, with the right to sublicense, (a) use, viewreproduce, copymodify, adapt, modifypublish, translate, create derivative works from, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, access perform and view display such User Content on, through, or by means of the Services. WRP does not claim any ownership rights in any form, format, media or media channels now known or later developed or discovered; and (b) use the name, identity, likeness and voice (or other biographical information) that you submit in connection with such User Content. Should such User Content contain the name, identity, likeness and nothing voice (or other biographical information) of third parties, you represent and warrant that you have obtained the appropriate consents and/or licenses for your use of such features and that the Swiftco International Corporation and its sublicenses are allowed to use them to the extent indicated in these Terms will Terms. You represent and warrant that: (i1) you either are the sole creator and exclusive owner of all User Content that you make available through the Services or you have all rights, licenses, consents and releases that are necessary to grant to WRP the rights in such User Content, as contemplated under these Terms; and (ii) neither the User Content nor your posting, uploading, publication, submission or transmittal of the User Content or WRP’s use of otherwise have sufficient rights and authority to grant the User Content (or any portion thereof) on, through or by means of the Services will infringe, misappropriate or violate a third party’s patent, copyright, trademark, trade secret, moral rights or other proprietary or intellectual property rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation. Notwithstanding the foregoing, should you furnish WRP with photos to be used in connection with any Listing or for any other purpose, you agree that WRP is permitted to edit such photos, and the edited result shall constitute a derivative work that you agree is the sole and exclusive property of WRP and for which you agree that you forfeit any copyright claims against WRP, whether past, present, or future, threatened, or actual.granted herein;

LitLingo is not responsible for the loss, corruption or other changes to User Content. Without limiting the foregoing, any feature(s) of the Software and/or Services that may permit you to temporarily save or otherwise store User Content is offered for your convenience only and LitLingo does not guarantee that the User Content will be retrievable. You are solely responsible for saving, storing and otherwise maintaining User Content including by maintaining backup copies of your User Content on appropriate independent systems that do not rely on the Software and/or Services. You retain all right, title, and interest in and to your User Content. By uploading or entering any User Content, you give LitLingo (and you agree that regarding any User Content you provide to WRP that you are solely and exclusively responsible for any liability arising therefrom and that that content may be used lawfully and without restriction by you and WRP. We maythose it works with) a nonexclusive, in our sole discretion, permit you to post, upload, publish, submit, or transmit User Content. You represent and warrant that: (i) you either are the sole and exclusive owner of all User Content that you make available through the Services or you have all rightsto develop new products, licenses, consents and releases that are necessary to grant to WRP the rights in such User Content, as contemplated under these Terms; and (ii) neither the User Content nor your posting, uploading, publication, submission or transmittal of the User Content or WRP’s use of the User Content (or any portion thereof) on, through or by means of the Services will infringe, misappropriate or violate a third party’s patent, copyright, trademark, trade secret, moral rights or other proprietary or intellectual property rightsfeatures, or rights of publicity or privacy, or result in the violation of any applicable law or regulation. Although we do not actively monitor, regulate or pre-screen your use of the Panel Services, we reserve the unconditional right (but not the obligation) to remove, move or edit any User Content you provide to WRP that you are solely and exclusively responsible for any liability arising therefrom and that that content may be used lawfully and without restriction by you and WRP. We may, we in our sole discretiondiscretion consider harmful, permit you to postoffensive or unprofessional, uploaddisruptive, publishin violation of law, submitregulation or any agreement, including, without limitation: ▪ Content which is or may be in violation of this Agreement. ▪ Content that could reasonably be construed as a violation of federal, state or international law prohibiting anti-competitive activities or unfair trade practices. For example, participants should not discuss detailed salary, wage, or transmit benefit pay by a company or industry, because such a discussion might fall outside of the FTC/Dept. of Justice safe harbor provisions for sharing of salary, wage, and benefits information. ▪ Content that infringes any other person or entity's copyright, trademark, service mark, trade dress or privacy-related rights. ▪ Content that is unprofessional or is harmful to the image of the HR profession. Persons found in violation of this Section may have their access to the Panel Services blocked, and, in certain cases, SHRM membership discipline procedures may be initiated. Notwithstanding the foregoing, should you furnish WRP with photos to be used in connection with any Listing or for any other purposePanel Services, you agree that WRP is permitted to edit such photosrelease, hold harmless, indemnify and defend the Society for Human Resource Management and the edited result shall constitute a derivative work that Panel Administrator from any and all legal or civil actions and penalties and costs, including without limitation attorneys' fees, arising from any User Content you agree is the sole and exclusive property of WRP and for which you agree that you forfeit any copyright claims against WRP, whether past, present, or future, threatened, or actualtransmit.
