The Application may invite Client and its Enrolled Patients Website provides opportunities for users to chat, contribute upload or provide Content to or participate in the Application, including but not limited to importing data, participation in blogs, message boards, and online forums in Website (the form of text, writings, video, audio, photographs, graphics, and other data including polling and feedback information (Collectively, “"User Contributions”"). All User Contributions may must comply with the Content Standards set out in these General Terms and Conditions. Client agrees that User Contributions made by its Authorized Users will be viewed by other users of the Application and through third-party websites. Except as prohibited by federal or state law, including HIPAA, Contributions are non- confidential considered nonconfidential and non-proprietary (as to Client), and Client, to the extent that it has such power to grant, grants NXTsoft the unrestricted, irrevocable, perpetual, non-exclusive, fully-paid and royalty-free license (with the right to sublicense) to use, copy, reproduce, modify, perform, display, create derivative works of, distribute and otherwise disclose to third parties any such material. Client represents that: h; (b) that it will take reasonable steps to ensure that all of Client's and become Client'sAuthorized Users' User Contributions do and will comply with these General Terms and Conditions; (c) that it will take reasonable steps to ensure that all submission made to the Website through Client's Account are accurate to the best of the Authorized User's knowledge; and Client agrees that it will not receive any compensation for the User Contributions submitted to NXTsoft through Client's Account.
b. All User Contributions are the sole responsibility of the posting user, and both NXTsoft and Client assume no responsibility for the content, legality,reliability, accuracy or appropriateness of any User Contributions.
c. NXTsoft has the right to: (a) remove or refuse to post any User Contributions for any or no reason in its sole discretion; (b) take any action with respect to any User Contribution that NXTsoft deems necessary or appropriate in its sole discretion, including if NXTsoft believes that such User Contribution violates this Agreement (except that such violation of this Agreement cannot be construed as a violation of this Agreement by Client); (c) take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Website or Services; or(d) terminate or suspend Client's or any Authorized User's access to all or part of the Application Website or Servicesif NXTsoft reasonably believes that a material violation of this Agreement has been committed. Even then, NXTsoft can only suspend access by the User(s) who have engaged in the wrongful conduct and cannot suspend access of Client or its other users who have not acted wrongfully.
d. Without limiting the foregoing, NXTsoft has the right to fully cooperate with any law enforcement authorities or court order requesting or directing disclosure of the identity or other information of anyone posting any materials on or through the Website. CLIENT WAIVES AND HOLDS HARMLESS NXTSOFT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES, LICENSEES AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING OR AS A RESULT OF ITS INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES. NXTSOFT WILL REPORT ANY ILLEGAL ACTIVITIES ON THE WEBSITE OR IN CONJUNCTION WITH THE SERVICES TO THE APPROPRIATE AUTHORITIES.
e. NXTsoft reserves the right but does not undertake to review material before it is posted on the Website. Accordingly, NXTsoft assumes no liability for Junna’s full use. Junna may screen and limit any contributions as deemed appropriate action or inaction regarding transmissions, communications or content provided by ▇▇▇▇▇. Client represents and warrants that:
i. All User Contributions must comply with the provisions in this Terms of Service. You are the creator and owner of or We have the right to: (a) Remove or refuse to post any User Contribution for any or no reason in our sole discretion; (b) Take any action with respect to any User Contribution that We deem necessary licensesor appropriate in our sole discretion, rightsincluding if We believe that such User Contribution violates these Terms, consentsinfringes any intellectual property right or other right of any person or entity, releases, and permissions to use and to authorize us, threatens the Site, and other personal safety of users of the Site Sites or the public or could create liability for Us; (c) Disclose Your identity or other information about You to any third party who claims that material posted by You violates their rights, including their intellectual property rights or their right to privacy; (d) Take appropriate legal action, including, without limitation, referral to law enforcement, for any illegal or unauthorized use of the Sites; (e) Terminate or suspend your Contributions in access to all or part of the Sites for any manner contemplated by or no reason, including, without limitation, any violation of these Terms. You foregoing, We have the written consent, release, and/or permission right to cooperate fully with any law enforcement authorities or court order requesting or directing Us to disclose the identity or other information of each and every identifiable individual person in your Contributions to use anyone posting any materials on or through the name or likeness of each and every such identifiable individual person to enable inclusion and Sites. We will disclose any information regarding the use of the Sites, including personal information pertaining to You, without your Contributions in any manner contemplated permission when required by the site and these Terms of Use;
iv. Your contributions are not false, inaccurate or misleading;
v. Your contributions are not unsolicited or unauthorized advertising, promotional materials, pyramid schemes, chain letters, spam, mass mailingslaw, or other forms of solicitation;

x. Your Contributions do not violate the confidentiality, privacy or publicity rights of any third party;
xi. Your Contributions do not contain any confidential third party payment information, such as credit card or bank routing information;
xii. Your Contributions do not contain any material that solicits personal information from anyone under the age of 18 or exploits any person in a sexual or violent manner;
xiii. Your Contributions do not include any offensive comments that are connected to race, national origin, gender, sexual preference or physical handicapYOU WAIVE AND HOLD US HARMLESS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING OR AS A RESULT OF ITS INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

The Application Site or any App may invite Client and its Enrolled Patients to chat, contribute to or participate in the Application, including but not limited to importing data, participation in blogs, contain message boards, chat rooms, personal web pages or profiles, forums, bulletin boards and online forums other interactive features (collectively, “Interactive Services”) that allow users to post, submit, publish, display or transmit to other users or other persons (hereinafter, “post”) content or materials (collectively, “User Contributions”) on or through the Site or any App. All User Contributions must comply with the Content Standards set out in these Terms of Use.
