Common use of User Subscriptions Clause in Contracts

User Subscriptions. 2.1 Subject to the Customer purchasing the User Subscriptions in accordance with clause 3.3, the restrictions set out in this clause 2 and the other terms and conditions of this Master Agreement, WorkInConfidence hereby grants to the Customer a non-exclusive, non-transferable right, without the right to grant sublicences, to permit the Authorised Users to use the Services during the Term solely for the Customer’s internal business operations. 2.2 In relation to the Authorised Users, the Customer undertakes that: 2.2.1 the maximum number of Authorised Users that it authorises to access and use the Services shall not exceed the number of User Subscriptions it has purchased from time to time; 2.2.2 it will not allow or suffer any User Subscription to be used by more than one individual Authorised User unless it has been reassigned in its entirety to another individual Authorised User, in which case the prior Authorised User shall no longer have any right to access or use the Services; and 2.2.3 each Authorised User shall keep a secure password for his use of the Services and that each Authorised User shall keep his password confidential. 2.3 The Customer shall not access, store, distribute or transmit any viruses, or any material during the course of its use of the Service that: 2.3.1 is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive; 2.3.2 facilitates illegal activity; 2.3.3 depicts sexually explicit images; 2.3.4 promotes unlawful violence; 2.3.5 is discriminatory based on race, gender, colour, religious belief, sexual orientation, disability; or 2.3.6 is otherwise illegal or causes damage or injury to any person or property; and WorkInConfidence reserves the right, without liability or prejudice to its other rights to the Customer, to disable the Customer’s access to any material that breaches the provisions of this clause. 2.4 The Customer shall use all reasonable endeavours to prevent any unauthorised access to, or use of, the Service and, in the event of any such unauthorised access or use, promptly notify WorkInConfidence. 2.5 Where Customer grants access to the Service to any third party it shall be responsible for actions of such third party.

In relation to the Authorised Users, the Customer undertakes that: 2.2.1 2.2.1. the maximum number of Authorised Users that it authorises to access and use the Services and the Service Definition Document shall not exceed the number of User Subscriptions it has purchased from time to time; 2.2.2 2.2.2. it will not allow or suffer any User Subscription to be used by more than one individual Authorised User unless it has been reassigned in its entirety to another individual Authorised User, in which case the prior Authorised User shall no longer have any right to access or use the Services; andServices and/or the Service Definition Document; 2.2.3 2.2.3. each Authorised User shall keep a secure password for his use of the Services Services, that such password shall be changed no less frequently than monthly and that each Authorised User shall keep his password confidential; 2.2.4. it shall maintain a written, up to date list of current Authorised Users and provide such list to the Supplier within 5 Business Days of the Supplier's written request at any time or times; 2.2.5. it shall permit the Supplier to audit the Services in order to establish the name and password of each Authorised User. Such audit may be conducted no more than once per quarter, at the Supplier's expense, and this right shall be exercised with reasonable prior notice, in such a manner as not to substantially interfere with the Customer's normal conduct of business; 2.2.6. if any of the audits referred to in clause 2.2.5 reveal that any password has been provided to any individual who is not an Authorised User, then without prejudice to the Supplier's other rights, the Customer shall promptly disable such passwords and the Supplier shall not issue any new passwords to any such individual; and 2.2.7. if any of the audits referred to in clause 2.2.5 reveal that the Customer has underpaid Subscription Fees to the Supplier, then without prejudice to the Supplier's other rights, the Customer shall pay to the Supplier an amount equal to such underpayment as calculated in accordance with the prices set out in Schedule 1 within 10 Business Days of the date of the relevant audit. 2.3 2.3. The Customer shall not access, store, distribute or transmit any virusesViruses, or any material during the course of its use of the Service Services that: 2.3.1 2.3.1. is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive; 2.3.2 2.3.2. facilitates illegal activity; 2.3.3 2.3.3. depicts sexually explicit images; 2.3.4 2.3.4. promotes unlawful violence; 2.3.5 2.3.5. is discriminatory based on race, gender, colour, religious belief, sexual orientation, disability; or 2.3.6 2.3.6. is otherwise illegal or causes damage or injury to any person or property; and WorkInConfidence the Supplier reserves the right, without liability or prejudice to its other rights to the Customer, to disable the Customer’s 's access to any material that breaches the provisions of this clause. 2.4 2.4. The Customer shall not: 2.4.1. except as may be allowed by any applicable law which is incapable of exclusion by agreement between the parties and except to the extent expressly permitted under this agreement: i. attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Software and/or the Service Definition Document (as applicable) in any form or media or by any means; or ii. attempt to de-compile, reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of the Software; or 2.4.2. access all or any part of the Services and the Service Definition Document in order to build a product or service which competes with the Services and/or the Service Definition Document; or 2.4.3. use the Services and/or the Service Definition Document to provide services to third parties; or 2.4.4. subject to clause 21.1, license, sell, rent, lease, transfer, assign, distribute, display, disclose, or otherwise commercially exploit, or otherwise make the Services and/or the Service Definition Document available to any third party except the Authorised Users; or 2.4.5. attempt to obtain, or assist third parties in obtaining, access to the Services and/or the Service Definition Document, other than as provided under this clause 2. 2.5. The Customer shall use all reasonable endeavours to prevent any unauthorised access to, or use of, the Services and/or the Service Definition Document and, in the event of any such unauthorised access or use, promptly notify WorkInConfidencethe Supplier. 2.5 Where Customer grants access 2.6. The Customer shall not: (a) except as may be allowed by any applicable law which is incapable of exclusion by agreement between the parties: (i) and except to the extent expressly permitted under the Agreement, attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Software and/or Documentation (as applicable) in any form or media or by any means; or (ii) attempt to reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of the Software; or (b) access all or any part of the Services and Documentation in order to build a product or service which competes with the Services and/or the Documentation; or (c) use the Services and/or Documentation to provide services to third parties; or (d) subject to clause 23, license, sell, rent, lease, transfer, assign, distribute, display, disclose, or otherwise commercially exploit, or otherwise make the Services and/or Documentation available to any third party except the Authorised Users; or (e) attempt to obtain, or assist 4.5. The Customer shall use all reasonable endeavours to prevent any unauthorised access to, or use of, the Service Services and/or the Documentation and, in the event of any such unauthorised access or use, promptly notify WorkInConfidencePlotbox. 2.5 Where Customer grants access 4.6. The rights provided under this clause 4 are granted to the Service Customer only, and shall not be considered granted to any third party it shall be responsible for actions affiliate, subsidiary or holding company of such third partythe Customer or other entity connected to the Customer.

User Subscriptions. 2.1 Subject to the Customer purchasing the User Subscriptions in accordance with clause 3.3, the restrictions set out in this clause 2 and the other terms and conditions of this Master Agreement, WorkInConfidence The Supplier hereby grants to the Customer a non-exclusive, non-transferable right, without the right to grant sublicences, to permit the Authorised Users to use the Services and the Documentation during the Subscription Term solely for the Customer’s internal business operations. 2.2 In relation to the Authorised Users, the Customer undertakes that: 2.2.1 (a) the maximum number of Authorised Users that it authorises to access and use the Services and the Documentation shall not exceed the number of User Subscriptions it has purchased from time to time; 2.2.2 (b) it will not allow or suffer any User Subscription to be used by more than one individual Authorised User unless it has been reassigned in its entirety to another individual Authorised User, in which case the prior Authorised User shall no longer have any right to access or use the Services and/or Documentation; (c) it shall, no more frequently than once per year, permit the Supplier or the Supplier’s designated auditor to audit the Services; and 2.2.3 each Authorised User shall keep a secure password for his , or use the Supplier’s requested software reporting, to verify that the Customer’s use of the Services and does not exceed the number of User Subscriptions purchased by the Customer; (d) if any of the audits referred to in Clause 2.2(c)) reveal that each Authorised User the Customer has underpaid Subscription Fees to the Supplier, then without prejudice to the Supplier’s other rights, the Customer shall keep his password confidentialpay to the Supplier an amount equal to such underpayment as calculated in accordance with the prices set out in Paragraph 1 of Schedule 1 in accordance with Clause 8. 2.3 The Customer shall not knowingly: (a) distribute or transmit to the Supplier, via the Services, any Viruses or Known Vulnerability or Latent Vulnerability; (b) store, access, storepublish, disseminate, distribute or transmit any viruses, or via the Services any material during the course of its use of the Service thatwhich: 2.3.1 (i) is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive; 2.3.2 (ii) facilitates illegal activity; 2.3.3 (iii) depicts sexually explicit images; 2.3.4 (iv) promotes unlawful violence; 2.3.5 (v) is discriminatory based on race, gender, colour, religious belief, sexual orientation, disability; or 2.3.6 (vi) is otherwise illegal or causes damage or injury to any person or property; ; 2.4 The Customer shall not: (a) except as may be allowed by any applicable law which is incapable of exclusion by agreement between the parties and WorkInConfidence reserves the right, without liability or prejudice to its other rights except to the Customerextent expressly permitted under this Agreement: (i) attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Software and/or Documentation (as applicable) in any form or media or by any means; or (ii) attempt to disable de-compile, reverse compile, disassemble, reverse engineer or otherwise reduce to human perceivable form all or any part of the Customer’s Software; (b) access all or any part of the Services and Documentation in order to build a product or service which competes with the Services and/or the Documentation; (c) use the Services and/or Documentation to provide services to third parties; (d) license, sell, rent, lease, transfer, assign, distribute, display, disclose, or otherwise commercially exploit, or otherwise make the Services and/or Documentation available to any third party except the Authorised Users, or (e) attempt to obtain, or assist third parties in obtaining, access to any material that breaches the provisions of Services and/or Documentation, other than as provided under this clauseClause 2. 2.4 2.5 The Customer shall use all reasonable endeavours to prevent any unauthorised access to, or use of, the Service Services and/or the Documentation and, in the event of if there is any such unauthorised access or use, promptly notify WorkInConfidencethe Supplier. 2.5 Where Customer grants access 2.6 The rights provided under this Clause 2 are granted to the Service to Customer and any third party it shall be responsible for actions subsidiary or holding company of such third partythe Customer.

User Subscriptions. 2.1 Subject to the Customer purchasing the User and/or Site Subscriptions in accordance with clause 3.33.3 and clause 8.1, complying with the restrictions set out in this clause 2 and the other terms and conditions of this Master Agreement, WorkInConfidence the Supplier hereby grants to the Customer a non-exclusive, non-transferable right, without the right to grant sublicences, to permit the Authorised Users to use the Subscription Services during the Subscription Term solely for the Customer’s 's internal business operations. 2.2 In relation to the Authorised Users, the The Customer undertakes that: 2.2.1 the maximum number of Authorised Users that (a) it authorises to access and use the Services shall not exceed the number of User and/or Site Subscriptions it has purchased from time to time;; and 2.2.2 (b) it will not allow or suffer any User Subscription to be used by more than one individual Authorised User user unless it has been reassigned in its entirety to another individual Authorised Useruser, in which case the prior Authorised User user shall no longer have any right to access or use the Subscription Services; and 2.2.3 each Authorised User shall keep a secure password for his use of the Services and that each Authorised User shall keep his password confidential. 2.3 If an audit by the Supplier reveals that the Customer has underpaid Subscription Fees to the Supplier, then without prejudice to the Supplier's other rights, the Customer shall pay to the Supplier an amount equal to such underpayment as calculated in accordance with Schedule 2 within 10 Business Days of the date of the relevant audit. 2.4 The Customer shall not access, store, distribute or transmit any virusesViruses, or any material during the course of its use of the Service Subscription Services that: 2.3.1 (a) is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive; 2.3.2 (b) facilitates illegal activity; 2.3.3 (c) depicts sexually explicit images; 2.3.4 (d) promotes unlawful violence; 2.3.5 (e) is discriminatory based on race, gender, colour, religious belief, sexual orientation, disability; or 2.3.6 (f) in a manner that is otherwise illegal or causes damage or injury to any person or property; and WorkInConfidence the Supplier reserves the right, without liability or prejudice to its other rights to the Customer, to disable the Customer’s 's access to any material that breaches the provisions of this clause. 2.4 2.5 The Customer shall not: (a) except as may be allowed by any applicable law which is incapable of exclusion by agreement between the parties: (i) and except to the extent expressly permitted under this Agreement, attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Software and/or documentation provided by the Supplier (as applicable) in any form or media or by any means; (ii) attempt to reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of the Software; (b) access all or any part of the Subscription Services and any documentation provided by the Supplier in order to build a product or service which competes with the Subscription Services; (c) use the Subscription Services to provide services to third parties; (d) subject to clause 21.1, license, sell, rent, lease, transfer, assign, distribute, display, disclose, or otherwise commercially exploit, or otherwise make the Subscription Services and/or documentation provided by the Supplier available to any third party, or (e) attempt to obtain, or assist third parties in obtaining, access to the Subscription Services , other than as provided under this clause 2. 2.6 The Customer shall use all reasonable endeavours to prevent any unauthorised access to, or use of, the Service Subscription Services and, in the event of any such unauthorised access or use, promptly notify WorkInConfidencethe Supplier. 2.5 Where Customer grants access 2.7 The rights provided under this clause 2 are granted to the Service Customer only, and shall not be considered granted to any third party it shall be responsible for actions subsidiary or holding company of such third partythe Customer.

Any additional Authorised Users purchased by the Customer in accordance with this clause 2.8 during a rolling monthly window that are not included in the current User Subscriptions will be responsible for actions invoiced at the next monthly invoice date as set out in paragraph 1 of such third partythe Quotation.

Such audit may be used by conducted no more than one individual Authorised User unless it has been reassigned in its entirety to another individual Authorised Useronce per quarter, at the Supplier's expense, and this right shall be exercised with reasonable prior notice, in which case such a manner as not to substantially interfere with the prior Authorised User shall no longer have Customer's normal conduct of business; (d) if any right to access or use the Services; and 2.2.3 each Authorised User shall keep a secure password for his use of the Services and audits referred to in clause 2.2(c) reveal that each Authorised User the Customer has underpaid Subscription Fees to the Supplier, then without prejudice to the Supplier’s other rights, the Customer shall keep his password confidentialpay to the Supplier an amount equal to such underpayment as calculated in accordance with the prices set out in paragraph 1 of Schedule 1 in accordance with Clause 3. 2.3 The Customer shall not access, store, distribute or transmit any virusesViruses, or any material during the course of its use of the Service Services that: 2.3.1 is (a) are unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive; 2.3.2 (b) facilitates illegal activity; 2.3.3 (c) depicts sexually explicit images; 2.3.4 (d) promotes unlawful violence; 2.3.5 is (e) are discriminatory based on race, gender, colour, religious belief, sexual orientation, disability; or 2.3.6 (f) are in a manner that is otherwise illegal or causes damage or injury to any person or property; and WorkInConfidence the Supplier reserves the right, without liability or prejudice to its other rights to the Customer, to disable the Customer’s access to any material that breaches the provisions of this clause. 2.4 The Customer shall not: (a) except as may be allowed by any applicable law which is incapable of exclusion by agreement between the parties: (i) and except to the extent expressly permitted under this Agreement, attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Software and/or Documentation (as applicable) in any form or media or by any means; or (ii) attempt to reverse compile, disassemble, reverse engineer or otherwise reduce to human- perceivable form all or any part of the Software; or (b) access all or any part of the Services and Documentation in order to build a product or service which competes with the Services and/or the Documentation; or (c) use the Services and/or Documentation to provide services to third parties; or (d) subject to clause 22.1, license, sell, rent, lease, transfer, assign, distribute, display, disclose, or otherwise commercially exploit, or otherwise make the Services and/or Documentation available to any third party except the Authorised Users, or (e) attempt to obtain, or assist third parties in obtaining, access to the Services and/or Documentation, other than as provided under this clause 2. 2.5 The Customer shall use all reasonable endeavours to prevent any unauthorised access to, or use of, the Service Services and/or the Documentation and, in the event of any such unauthorised access or use, promptly notify WorkInConfidencethe Supplier. 2.5 Where Customer grants access to the Service to any third party it shall be responsible for actions of such third party.

User Subscriptions. 2.1 Subject to the Customer purchasing the User Subscriptions in accordance with clause 3.3, the license restrictions set out in this clause 2 and the other terms and conditions of this Master Agreement, WorkInConfidence Philips hereby grants to the Customer Customer, a non-exclusive, non-non- transferable right, without the right to grant sublicences, to permit the Authorised Users to use the Services during the Subscription Term solely for the Purpose. Customer will name an administrative user who can create and delete Authorised User accounts for members of Customer’s internal business operationsorganisation or its Affiliates. 2.2 In relation to the Authorised Users, the Customer undertakes that: 2.2.1 the maximum number of : (a) it shall be responsible for compliance by Authorised Users that it authorises to access and use with the Services shall not exceed the number terms of User Subscriptions it has purchased from time to time; 2.2.2 this Agreement; (b) it will not allow or suffer any User Subscription user subscription to be used by more than one individual Authorised User unless it has been reassigned in its entirety to another individual Authorised User, in which case the prior Authorised User shall no longer have any right to access or use the ServicesServices and/or its documentation; and 2.2.3 (c) each Authorised User shall keep a secure password for his its use of the Services and its documentation, and that each Authorised User shall keep his password confidential; (d) it shall maintain a written, up to date list of current Authorised Users and provide such list to Philips within 5 Business Days of Philips’ written request at any time or times; (f) it shall permit Philips to audit the Services for compliance with data protection legislation, if needed. Such audit may be conducted no more than once per quarter, and with reasonable prior notice; and (g) if an audit would reveal that any password has been provided to any individual who is not an Authorised User, then without prejudice to Philips’ other rights, Customer shall promptly disable such passwords. 2.3 The Customer shall not access, store, distribute or transmit any viruses, or any material during the course of its use of the Service Services that: 2.3.1 (a) is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive; 2.3.2 ; (b) facilitates illegal activity; 2.3.3 ; (c) depicts sexually explicit images; 2.3.4 ; (d) promotes unlawful violence; 2.3.5 ; (e) is discriminatory based on race, gender, colour, religious belief, sexual orientation, disability, or any other illegal activity; or 2.3.6 is otherwise illegal or (f) causes damage or injury to any person or property; and WorkInConfidence Philips reserves the right, without liability or prejudice to its other rights to the Customer, to disable the Customer’s access to any material that breaches the provisions of this clause. 2.4 The Customer shall will ensure that the Services provided hereunder are used in accordance with all applicable laws, regulations and third party rights, as well as the terms of this Agreement. Customer agrees to NOT: a) access (or attempt to access) the administrative interface or portal of the Services by any means other than through the interface that is provided by Philips in connection with the Services, unless it has been specifically allowed to do so in a separate written agreement with Philips, b) Attempt to disable or circumvent any security mechanisms used by Philips or any Philips applications except that Customer may request in writing to test or have tested the security of Philips, c) engage in any activity that intentionally interferes with or disrupts Services (or the servers and networks which are connected to the Services), d) rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer or otherwise make Services available to any third party, except as expressly authorized by this Agreement, e) use all reasonable endeavours the Services to prevent provide services to third parties, unless such third party is a “Sending Party” or “Receiving Party” subscribed to the PIPS Service; f) use or authorize the use of Services in any unauthorised access to, manner or use of, the Service and, for any purpose that is unlawful under applicable law and/or by any unauthorized user - and in the event of any such unauthorised unauthorized access or use, promptly to notify WorkInConfidence. 2.5 Where Philips; g) attempt to copy, decompile, disassemble, reverse engineer all or any part of Services or underlying software.
