Common use of Utility Deposit Proration Clause in Contracts

Utility Deposit Proration. A list of all security deposits, escrows, utility deposits and other deposits of a similar nature (collectively, the "PREPAID DEPOSITS") of Seller in respect of the Business shall be provided by Seller to Purchaser on the Closing Date (the "DEPOSIT CERTIFICATE"). Purchaser shall pay to Seller on the Closing Date the aggregate amount of all items shown on the Deposit Certificate and the Prepaid Deposits reflected on the Deposit Certificate shall be included in the Assets.
