Valid Title. Immediately prior to the sale of the Purchased Certificate Interests to the Purchaser hereunder, the Seller had good and marketable title to the Purchased Certificate Interests, free from liens, encumbrances and defects that would adversely affect the value thereof. Immediately following such sale, the Purchaser will have good and marketable title to the Purchased Certificate Interests free from liens, encumbrances and defects that would adversely affect the value thereof.
