The appraisal obtained pursuant Inventory as of the Closing Date and as required under the SPA with such joint physical inventory to take place, in Buyer’s determination, at either Seller’s warehouse in Modesto, CA or at a warehouse in the above provisions shall be treated as U.S. operated by Buyer or one of its Affiliates (the fair market “Closing Inventory Valuation”) and (y) a joint calculation of the value of the Vessel Accounts Receivable as at the Closing Date for that period unless purposes of calculating the Facility Agent (acting on the instructions of the Required Lenders) notifies the Borrower within 15 days of the receipt of this appraisal that it is not satisfied that such appraisal appropriately reflects the fair market value of the Vessel, in which case Accounts Receivable as of the Facility Agent Closing Date and as required under the SPA (the “Closing A/R Valuation”). Seller and Buyer hereby agree that the valuation principles used to calculate the Closing Inventory Valuation and the Closing A/R Valuation pursuant to Section 3.3 shall be entitled based on the following:
(i) for Inventory, an amount equal to request that the Borrower obtains a second valuation from an Approved Appraiser, such second valuation to be obtained within 15 days seventy (70%) percent of the receipt sum of:
(1) gross inventory, which shall equal the sum of (A) manufacturer’s purchase cost, plus (B) customs duty, plus (C) manufacturer’s commissions, plus (D) freight; minus
(2) inventory provision, which shall equal the sum of (A) obsolete inventory plus (B) slow moving inventory; plus
(3) goods in transit, which shall equal the sum of (A) manufacturer’s purchase cost, plus (B) customs duty, plus (C) manufacturer’s commissions, plus (D) freight; in each case, arising from, as the result of or related to such Inventory and actually incurred by Seller; and
(ii) for Accounts Receivable, an amount equal to (A) 100% of the request for gross trade receivables minus (B) the same. Where amount of any sales tax included or includable on any invoice relating to such second valuation is so requested, the fair market value of the Vessel shall be determined on the basis of the average of the two appraisals so obtained. All such appraisals shall be conducted by, and made at the expense of2025, the Borrower shall obtain one or (it being understood that the Facility Agent may and, at the request of the LendersAdministrative Agent) more Valuations of each Mortgaged Vessel, shall, upon prior written notice to the Borrower (which notice shall identify the names of the relevant appraisal firms), obtain such appraisals and that the cost of all such appraisals will be for the account of in each case at the Borrower); provided ’s sole cost and expense (except that, with respect to each Mortgaged Vessel, any Valuation in a calendar year requested by the Administrative Agent, shall be at the Lenders’ expense, unless an Event of Default shall then be has occurred and is continuing) and from one of the Approved Brokers, as selected by the Borrower; provided that unless an Event of Default has occurred and is continuing, in no event more than two Valuations of any Mortgaged Vessel shall the Borrower be so required to pay for appraisal reports from one or, if applicable, two appraisers on more than one occasion in be obtained during any fiscal year of the Borrower; provided further, with that in the case of a Material Alteration of any Mortgaged Vessel, the Borrower shall obtain a Valuation, at the Borrower’s sole cost and expense, from one of the Approved Brokers, as selected by the Borrower, to reflect the Material Alteration of such Mortgaged Vessel. The Borrower shall deliver (or cause to be delivered) a copy of any such reports in excess thereof Valuation (a “First Valuation”) to the Administrative Agent (for distribution to the Lenders). Notwithstanding anything to the contrary, the Borrower, at its own option and without any instruction from the Administrative Agent may obtain a First Valuation from time to time and deliver same to the Administrative Agent (for distribution to the Lenders). In the event the Borrower is not satisfied with the results of any First Valuation, then the Borrower will have 30 days after the Borrower’s receipt of such First Valuation during which to obtain, at its option and at its sole cost and expense, an additional Valuation (a “Second Valuation”) from one of the Approved Brokers, as selected by the Borrower. The Borrower shall deliver (or cause to be paid delivered) a copy of any such Second Valuation to the Administrative Agent (for distribution to the Lenders) promptly after the Borrower’s receipt thereof. If any such Second Valuation is obtained and the results thereof indicate a value for the subject Mortgaged Vessel of at least 110% of the value indicated in the First Valuation, then the Borrower will have 30 days after the receipt of such Second Valuation from the relevant Approved Broker during which to obtain, at its option and at its sole cost and expense, a further additional Valuation (a “Third Valuation”) from one of the Approved Brokers, as selected by the Lenders on a pro rata basis;Borrower. The average value of any First Valuation, Second Valuation (to the extent obtained as provided above) and Third Valuation (to the extent obtained as provided above) of any Mortgaged Vessel shall constitute the Valuation of such Mortgaged Vessel for all purposes under the Loan Documents until any subsequent Valuation of such Mortgaged Vessel is obtained in accordance with this Section 5.16.

29.22.2 If the Borrower delivers to the Agent, in satisfaction of a condition precedent in accordance with the Third Amendment Agreement, an Appraised Value for each Collateral Vessel dated as of a date no event earlier than November 15, 2015, the obligation to deliver such Appraised Value on the Appraisal Date as of December 31, 2015 shall be deemed satisfied.
29.22.3 The Borrower shall ensure that each Appraised Value shall contain:
(a) confirmation as to which Collateral Vessels are stacked or laid up and which are operational together with confirmation from the Approved Broker that the Appraised Value has been calculated on such basis; and
(b) a detailed commentary on the offshore supply vessel market from the relevant Approved Broker.
29.22.4 The Borrower be required shall use commercially reasonable efforts (including, without limitation, approaching further Approved Brokers to pay provide an Appraised Value if necessary) to ensure that each Approved Broker addresses each Appraised Value as follows: "This report is for appraisal reports The Royal Bank of Scotland plc in its capacity as Agent for the Finance Parties and Security Agent for the Secured Parties under and as defined in the facility agreement originally dated September 26, 2014 (as amended from one ortime to time) and made between, if applicableamongst others, two appraisers on more than one occasion in any fiscal year The Royal Bank of Scotland plc and GulfMark Americas, Inc.

20.5.3 If an Event of Default shall then be has occurred and is continuing, in no event the Finance Parties may at any time procure that a Valuation be carried out by an Independent Finance Parties Valuer. Such valuation (an "EoD Valuation" and together with an LTV Valuation the "Finance Party Valuations") shall be addressed to the Borrower be required Finance Parties. The Company shall promptly on demand pay to pay the Agent (for appraisal reports from one or, if applicable, two appraisers on more than one occasion in any fiscal year the account of the Borrower, relevant Finance Parties) an amount equal to all costs and expenses reasonably incurred by the Finance Parties in connection with such Valuation.

Valuations. Valuations. After (a) The Borrower shall deliver to the Delivery Date, together with delivery of the financial statements described in Section 9.01(bJunior Agent:

(iii) from an Approved Appraiser or such other independent firm of shipbrokers or shipvaluers nominated at any time upon not less than 30 days' request by the Borrower and approved by the Facility Junior Agent (acting on the instructions of the Required Majority Junior Lenders, (in the case of (i)) a complete and expanded version of the Initial Valuation and (in any other case) a Valuation of the Initial Properties as at the end of the financial year of the Borrower (starting with the financial year ending 31st December, 1999) ended immediately prior to the delivery of such Valuation (in the case of (ii) above) and as at a date no earlier than 30 days before it is delivered (in the case of (i) and (iii) above) and in each case prepared on the same basis and in a similar level of detail as is agreed with the Arranger on or failing before the date of this Agreement, subject to such nomination and approval, appointed variations requested by the Facility Borrower as the Junior Agent (acting on such instructions) in its sole discretion (each such valuation and any other valuation obtained pursuant to this Section 9.01(c) shall be made without, unless reasonably required by the Facility Agent, physical inspection and on the basis of a sale for prompt delivery for cash at arm’s length on normal commercial terms as between a willing buyer and a willing seller without taking into account the benefit of any charterparty or other engagement concerning the Vessel), stating the then current fair market value of the Vessel. The appraisal obtained pursuant to the above provisions shall be treated as the fair market value of the Vessel for that period unless the Facility Agent (acting on upon the instructions of the Required Majority Junior Lenders) notifies may approve in writing.
(b) Valuations under (a)(i) and (ii) above will be at the Borrower within 15 days Borrower's expense. Valuations under (a)(iii) above will be at the Junior Lenders' expense (pro rata to their outstandings at the date the Valuation is requested) unless an Event of Default has occurred and is continuing unwaived at the date of the receipt Junior Agent's notice or if the Valuation itself demonstrates that an Event of this appraisal that it is not satisfied that such appraisal appropriately reflects the fair market value of the VesselDefault has occurred, in which case the Facility Agent Valuation shall be entitled at the Borrower's expense.
(c) The Borrower shall be given a reasonable opportunity to request that review a draft of each Valuation and make comments to the Borrower obtains a second valuation from an Approved AppraiserValuer on such draft. Any such comments shall be copied to the Junior Agent at the same time as they are given to the Valuer. However, such second valuation the Valuer shall not be under any obligation to be obtained within 15 days of the receipt of the request for the same. Where act on any such second valuation is so requested, the fair market value of the Vessel comments and shall be determined not incur any liability to any Obligor if it does not act on the basis of the average of the two appraisals so obtained. Valuations. After the Delivery Date8.5.1 The Facility Agent shall cause to be prepared, together with delivery by each of the financial statements described in Section 9.01(bApproved Valuers, valuations of the Fair Market Value of each Vessel, such valuations to be prepared and dated no more than thirty (30) for each fiscal yeardays prior to, and at any other time within 15 days of a written request from shall be delivered to the Facility AgentAgent on or prior to, an appraisal report (i) the date falling six (6) months after the date of recent this Agreement, (ii) each anniversary of the date referred to in part (but in no event earlier than 90 days before the delivery of such reportsi) from an Approved Appraiser or such above, and (iii) each other independent firm of shipbrokers or shipvaluers nominated date reasonably requested by the Facility Agent or the Borrower and approved (which shall include without limitation any date on which new Valuations are required pursuant to the definition of Additional Vessel Requirements). 8.5.2 If either the Borrower or the Facility Agent (acting on the instructions of the Required LendersMajority Banks) disagrees (by promptly notifying the other of such disagreement) with any Initial Valuation, the Borrower or failing such nomination and approval, appointed by the Facility Agent (acting as the case may be) may instruct the Approved Valuers jointly to appoint a third independent and properly qualified appraiser to prepare, within thirty (30) days of the date on which the Borrower receives the Initial Valuation, a further valuation on the same basis as the Initial Valuation. Each such instructions) in its sole discretion (each such further valuation is herein referred to as a “Further Valuation”, and “Valuation” means any other valuation obtained pursuant to this Section 9.01(c) Initial Valuation or any Further Valuation.
