The 'Vat Breakdown or Power Failure' clause defines the procedures and responsibilities in the event that a vat (such as a fermentation or storage vessel) becomes inoperable due to mechanical failure or if there is a loss of power affecting production. Typically, this clause outlines the steps the parties must take to mitigate losses, such as notifying the other party, attempting repairs, or adjusting delivery schedules. Its core function is to allocate risk and clarify the actions required to minimize disruption and financial impact when unforeseen technical issues halt or compromise production.
Vat Breakdown or Power Failure. If a vat or power failure eventuates, please immediately notify the Milk Department. Milk Department will then endeavour to find a solution for the Farmer so their contractual obligations can be fulfilled. Where the Milk Buyer contract allows, and it is logistically feasible to do so, a Farmer may request that additional milk collections scheduled to minimise the impact of the incident. In this instance, Milk Department will endeavour to arrange alternate collection and delivery arrangements to enable the sale of the effected milk. If a vat or power failure eventuates, the Farmer should immediately notify a Milk Department Field Services Contact. Milk Department will then endeavour to find a solution for the Farmer so their contractual obligations can be fulfilled. If cooling system maintenance is required or a power outage due to supply maintenance is scheduled, the Milk Department Field Services Contact needs to be notified of the date and relevant time periods so that alternative transport scheduling can be arranged. Additional milk collections can be requested to minimise the impact of any incident. The Milk Department will endeavour to arrange alternative collection and delivery arrangements to enable the sale of effected milk. The cost associated with such additional milk collections may be charged to the farmer. In all situations above the milk must meet all quality parameters of Australian and New Zealand Food Safety Standards and/or those set out in the MPA.

For those CLECs that have agreements with other CLECs, BellSouth can immediately start directing traffic to a provisional CLEC for completion. This alternative is dependent upon BellSouth having concurrence from the affected CLECs. Whether or not the affected CLECs have requested a traffic transfer to another CLEC will not impact BellSouth's resolve to re-establish traffic to the original destination as quickly as possible.
