Vendors and Subcontractors. Supplier shall not (i) change the vendors from whom Supplier sources components of the Products as of the Effective Date or (ii) subcontract its obligations to manufacture Products to subcontractors in each case without the prior written consent of SI-BONE; provided, that SI-BONE hereby acknowledges its consent to Supplier’s purchase of Product components from vendors identified in Exhibit B (“Approved Vendors”) and use of subcontractors identified in Exhibit C (“Approved Subcontractors”). SI-BONE may order through Supplier components sourced from Supplier’s approved vendors (which vendors may include affiliates of SI-BONE) and Supplier agrees to provide those components to SI-BONE at Supplier’s cost [*]. Subject to the requirements of Section 4.7 of this Agreement, SI-BONE may request or otherwise require Supplier to approve and utilize alternative sources including the Approved Vendors and Approved Subcontractors.

2. Section 8.8 of the Agreement is hereby modified to add the following:
Vendors and Subcontractors. CONA may use Vendors and Subcontractors to provide Services on its behalf in accordance with the terms of this Master Agreement. Any such Vendor or Subcontractor will be permitted to process Personal Information solely pursuant to the terms of this Article 8 and only as necessary to deliver the services CONA has retained them to provide. These Vendors and Subcontractors may be located outside of the United States. CONA warrants that the agreements it has in place with any and all Vendors and Subcontractors contain similar or greater data privacy and security obligations.
Vendors and Subcontractors. Contractor shall, for the protection of Contractor and Company, obtain from the Vendors and Subcontractors such guarantees and warranties with respect to Work performed and Equipment supplied, used and installed hereunder as are reasonably obtainable, which guarantees and warranties shall equal or exceed those set forth in Section 12.1 and shall be made available and assignable to Company to the full extent of the terms thereof upon the expiration of Contractor’s warranty hereunder. Company shall be an express third-party beneficiary of all such guarantees and warranties, provided such third-party beneficiary rights shall not be effective unless this Agreement has been terminated. To the extent available, Company shall have the right to require Contractor to secure additional warranty or extended guarantee protection pursuant to a Change Order issued in accordance with the provisions of Article VI. Upon the earlier of the Substantial Completion Date or termination of this Agreement, Contractor shall deliver to Company copies of all relevant contracts providing for such guarantees and warranties.

Vendors and Subcontractors. If requested by Owner, Contractor shall provide a list of proposed Vendors and Subcontractors. Owner may, in its sole discretion, approve of or disapprove of any Subcontractor or Vendor under this Section 9.01.

The Company reserves the right of prior written approval of all Vendors and subcontractors, which approval will not be unreasonably withheld by the Company, and will be deemed approved in advance if placed on Appendix “A” to “D.” Approval of any Vendor or subcontractor by Company shall not constitute the superseding or waiver of any right of the Company to reject work that is not in conformance with its standards or this Agreement. Consultant shall be fully responsible for its Vendors and subcontractors. Nothing in this Agreement shall be construed to create any contractual relationship between the Company and any Vendor or subcontractor, nor any obligation on the part of the Company to pay or to see to the payment of any money due any Vendor and subcontractor as may otherwise be required by law. Without limiting the foregoing, if any subcontractors and Vendors are used, prior to such use, Consultant shall deliver to the Company all relevant agreements demonstrating chain of title as to any and all of such subcontractors' and Vendors contributions to the Invention and any and all other relevant work product and/or intellectual property created by or contributed to by such subcontractors and Vendors. Any and all fees and expenses of Vendors and subcontractors delineated on Appendix “A” to “D” are deemed approved unless otherwise objected to prior to signing and engagement by the Company of the Consultant.
