Common use of Voting and Other Action Clause in Contracts

Voting and Other Action. Neither the Custodian nor its nominee shall vote any of the securities held pursuant to this Agreement by or for the account of the Portfolio, except in accordance with Written Instructions. The Custodian, directly or through the use of the Book-Entry System, shall execute in blank and promptly deliver all notice, proxies, and proxy soliciting materials to the registered holder of such securities. If the registered holder is not the Fund on behalf of the Portfolio, then Written or Oral Instructions must designate the person who owns such securities.

Neither the Custodian Provident nor its nominee shall vote any of the securities held hold pursuant to this Agreement by or for the account of the PortfolioFund, except in accordance with Written Instructions. The CustodianProvident, directly or through the use of the Book-Entry System, shall execute in blank and promptly deliver all notice, proxies, and proxy soliciting materials to the registered holder of such securities. If the registered holder is not the Fund on behalf of the Portfolio, then Written or Oral Instructions must designate the person who owns such securities.the
