Voting of Securities Clause Samples

The "Voting of Securities" clause defines how voting rights attached to shares or other securities held by a party are exercised. Typically, this clause specifies who has the authority to vote on behalf of the securities owner, under what circumstances, and may outline procedures for instructing a proxy or representative. For example, it might require a trustee to vote shares according to the beneficiary's instructions or allow a lender to direct votes during a loan default. The core function of this clause is to ensure clarity and control over the decision-making power associated with securities, preventing disputes and aligning voting actions with the parties' intentions.
