This Agreement may not be modified, amended, altered or supplemented except upon the execution and delivery of a written agreement executed by the parties hereto.

Waiver and Amendment. Any provision of this Agreement agreement may be waived at any time by the party that is entitled to the benefits of such provision, but no such waiver shall be effective unless it is contained in a written waiver executed by such party. The waiver by any party hereto of any condition or of a written agreement executed by the parties heretobreach of any provision of this Agreement shall not operate or be construed as a waiver of any other condition or subsequent breach.
