Warranty and Technical Support. PECO will provide cleaning, refurbishing, reselling and repair services for the Products in accordance with a Repair Services Agreement; the parties shall use commercially reasonable efforts to negotiate and enter into such Repair Services Agreement prior to the Closing of the transaction contemplated in that certain Asset Purchase Agreement between the parties dated October 13, 2005. Subject to DEI’s obligations pursuant to Section 3.2.2, DEI will provide reasonable technical assistance and back-up support to PECO in connection therewith as mutually agreed at DEI’s standard rates.

Warranty and Technical Support. 8.1 The Seller shall provide a warranty of quality of the Object of Purchase for the period of 24 months. If on the warranty list or other document is the warranty period of longer duration, then this longer warranty period shall have priority over the period stated in this Contract. 8.2 The warranty period shall begin on the day of the signature of the acceptance protocol by both Parties. If the acceptance protocol lists any deficiencies, the warranty period shall be extended by the period, during which the Seller remedied the last deficiency. 8.3 The Seller shall remove defects and deficiencies that occur during the warranty period free of charge and in the terms stipulated in this Contract. 8.4 If the Buyer ascertains a defect or deficiency of the Object of Purchase during the warranty period, the Buyer shall notify such defect or deficiency without undue delay to the Seller. Defects and deficiencies may be notified on the last day of warranty period, at the latest. 8.5 The Buyer notifies defects and deficiencies in writing via e-mail. The Seller shall accept notifications of defects on the following e-mail address: ▇▇▇▇▇▇@▇▇▇▇▇▇.▇▇. The Seller shall confirm within 24 hours from the receipt of the notification. 8.6 In the notification the Buyer shall describe the defect or deficiency and the manner of removal of the defect. The Buyer has the right to: a) ask for the removal of the defect by the delivery of new Object of Purchase or its individual parts, or b) ask for the removal of the defect by repair, or

Warranty and Technical Support. The MANUFACTURER warrants that the SOFTWARE will function substantially in accordance with the documentation available on the main web page for a period of ninety (90) days from the date the license agreement was signed. In the case that any problems or questions arise the MANUFACTURER will help with free technical support by e-mail for a period of one year from the date of payment of license fees.

  • Technical Support State Street will provide technical support to assist the Fund in using the System and the Data Access Services. The total amount of technical support provided by State Street shall not exceed 10 resource days per year. State Street shall provide such additional technical support as is expressly set forth in the fee schedule in effect from time to time between the parties (the “Fee Schedule”). Technical support, including during installation and testing, is subject to the fees and other terms set forth in the Fee Schedule.

  • Technical Support Services 2.1 The technical support services (the "Services"): Party A agrees to provide to Party B the relevant services requested by Party B, which are specified in Exhibit 1 attached hereto ("Exhibit 1").

  • Customer Warranty Customer’s and its End Users’ use of the Services must always comply with all applicable Laws and this Agreement.

  • Supplier Warranties The warranties made by Supplier with respect to each Product are solely those that are contained in the product insert accompanying such Product. No other affirmation of fact or promise made by Distributor or its Suppliers, whether or not in this Agreement, by words or action shall constitute a warranty. The foregoing warranty does not extend to any Product that is modified or altered, or treated with abuse, negligence or other improper treatment. Standard Limited Warranty. Distributor shall pass on to Subdistributor so that it may pass on to the customers the Supplier’s standard limited warranty for Products, including limitations set for in subsection (b) Limitation of Liability and Warranty below. Except for the stated warranty set forth on, or included with, the Products as delivered to the Subdistributor and /or its customers, the warranty and remedy set forth in this 0 are exclusive and all other warranties, guarantees or representations, express or implied, by Distributor’s Suppliers with respect to the applicable Products, including, without limitation, warranties of merchantability and fitness for particular purpose, and any other obligation or liability of Distributor and its Suppliers to Subdistributor or to any third party with respect to the Products, are hereby excluded. This warranty is contingent upon proper use of a Product in the application for which such Product was intended and does not cover Products that were modified without Distributor or its Supplier’s prior written approval, that have expired or that were subjected to physical, chemical or electrical stress that the products were not originally designed for.

  • Manufacturer Warranties Prior to the transfer to the Interconnected Transmission Owner of title to the Transmission Owner Interconnection Facilities built by the Interconnection Customer, the Interconnection Customer shall produce documentation satisfactory to the Interconnected Transmission Owner evidencing the transfer to the Interconnected Transmission Owner of all manufacturer warranties for equipment and/or materials purchased by the Interconnection Customer for use and/or installation as part of the Transmission Owner Interconnection Facilities built by the Interconnection Customer.
