WARRANTY BY SUBLANDLORD. Subtenant's Quiet Enjoyment. ---------------------------------------------------- Sublandlord warrants and represents to Subtenant that to the best of its knowledge the Master Lease has not been amended or modified except as expressed set forth herein; that Sublandlord has not previously assigned its interest under the Master Lease and has not subleased any portion of the Premises to others under subleases now in effect; that Sublandlord has received no notice of any claim by Master Landlord that Sublandlord is in default or breach of any of the provisions of the Master Lease; and that, neither Sublandlord nor to the best of the Sublandlord's knowledge, the Master Landlord is in default under the Master Lease; that Sublandlord has full power and authority to execute, deliver and perform its obligations under this Sublease and there are no consents or approvals that are required for Sublandlord to execute, deliver and perform hereunder which have not been obtained. Approval of the Sublease by Master Landlord is evidenced by Exhibit C. Provided Subtenant performs all of the obligations of Subtenant hereunder, Subtenant shall have the right of quiet enjoyment of the Premises without interference by Master Landlord, Sublandlord or anyone claiming by, through or under Master Landlord or Sublandlord subject to the provisions hereof and of the Master Lease.

Approval of the Sublease by Master Landlord is evidenced by Exhibit C. Attachment B. Provided Subtenant performs all of the obligations of Subtenant hereunder, Subtenant shall have the right of quiet enjoyment of the Premises without interference by Master Landlord, Sublandlord or anyone claiming by, through or under Master Landlord or Sublandlord subject to the provisions hereof and of the Master Lease.

Subtenant's Quiet Enjoyment. ---------------------------------------------------- Sublandlord warrants and represents to Subtenant that to the best of its knowledge that: (a) the Master Lease attached hereto as Exhibit A is a true, correct and complete copy thereof and has not been amended or modified except as expressed set forth hereinfor redaction of certain confidential information; (b) that no Event of Default has occurred under Master Lease and Sublandlord has not received any notice of default under the Master Lease; (c) that Sublandlord has not previously assigned its interest under the Master Lease and has not subleased any portion of the Premises to others under subleases now in effect; that Sublandlord has received no notice knowledge of any claim by Master Landlord that Sublandlord is in default or breach an Event of Default has occurred under any of the provisions of the Master Lease; and that, neither Sublandlord nor (d) to the best of the Sublandlord's knowledge, the Master Landlord is not in default under the Master Lease; that . Subtenant acknowledges that: Sublandlord has full power and authority to execute, deliver and perform its obligations under this Sublease and there are makes no consents representation or approvals that are required for Sublandlord to execute, deliver and perform hereunder which have not been obtained. Approval warranty regarding the condition of the Sublease by Master Landlord is evidenced by Exhibit C. Provided Premises which Subtenant performs accepts in their "AS-IS" condition with all faults; and that Sublandlord makes no representation or warranty with respect to current compliance or non compliance of the obligations of Subtenant hereunderSublease Premises, Subtenant shall have the right of quiet enjoyment or contemplated use of the Sublease Premises, with applicable laws, codes and regulations including, but not limited to, the Americans with Disabilities Act except as follows: Sublandlord has not received any notice of violation of any applicable laws, codes or regulations regarding the Sublease Premises nor is Sublandlord aware, without interference by Master Landlordreview or inquiry, Sublandlord or anyone claiming by, through or under Master Landlord or Sublandlord subject to the provisions hereof and of the Master Leaseany such violation.
