Withholding of Records Clause Samples

The 'Withholding of Records' clause allows one party to retain possession of certain documents or records, typically until specific conditions are met, such as payment of outstanding fees or fulfillment of contractual obligations. In practice, this means that a service provider, like an accountant or consultant, may refuse to release client files or work products if the client has not paid for services rendered. The core function of this clause is to provide leverage for the party holding the records, ensuring compliance with the agreement and incentivizing timely payment or performance by the other party.
Withholding of Records. Under California law, a private school cannot refuse to provide student records to a requesting elementary school or high school because of any outstanding charges, including tuition or fees that the student or parents/guardians owe. However, in accordance with school policy, the school may withhold from parents/guardians the grades, diploma, or transcripts of a student pending the payment of certain amounts for damaged property, the return of loaned property, or unpaid tuition or fees.
Withholding of Records. The School may withhold and refuse to release report cards, transcripts and all other academic records for any student whose tuition, fees or other financial obligations to the school are not paid in full. This also applies to graduating students applying for high school admission. If payment is made by personal check, the School reserves the right to continue withholding the records until the check has cleared. If payment is made by cash, money order or certified check, the School will release the records upon receipt of payment. Payments by personal check must be made at least 10 days prior to a regularly scheduled report card distribution date. Payments made within 10 days of a regularly scheduled report card distribution date must be made by cash, money order or certified check. After 60 days the tuition account will be turned over to a collection agency.
Withholding of Records. In the event that FAMILY has outstanding financial obligations when a student leaves the school, SCHOOL may withhold any diploma, progress reports, or other records until those financial obligations have been met.
