Working Groups. From time to time, a Joint Committee may establish and delegate duties to sub-committees or directed teams (each, a “Working Group”) to oversee particular projects or activities (for example, joint finance group and/or joint intellectual property group), provided that in no event shall a Joint Committee have the right to, and no Joint Committee shall, delegate its respective decision-making authority to any such Working Group. Each such Working Group shall be constituted as the applicable Joint Committee determines and shall establish its own procedures, to the extent that such procedures are not inconsistent with this Agreement; provided that each Working Group shall have adequate functional representation from each Party. Members of a Working Group may also be members of a Joint Committee. Working Groups may be established on an ad hoc basis for purposes of a specific project or on such other basis as the applicable Joint Committee may determine. Each Working Group and its activities shall be subject to the oversight, review, and approval of, and shall report to, the Joint Committee that established such Working Group. In no event shall the authority of a Working Group exceed the authority specified for the Joint Committee that established the Working Group pursuant to this Article 2. All decisions of a Working Group shall be made by unanimous agreement. Any disagreement between the representatives of Takeda and Denali on a Working Group shall be referred to the Joint Committee that established the Working Group for resolution in accordance with Section 2.3.6. Employees of either Party (or a Party’s Affiliate) that are not representatives of such Party on a Working Group may attend meetings of such Working Group; provided, that the Party wishing such persons to participate in a meeting has provided reasonable advance notice to the other Party. Non-employees may only attend meetings of a Working Group if such non-employee is bound by written obligations of confidentiality and non-disclosure substantially equivalent to those set forth in Article 11 and with the prior written approval of the other Party (such approval not to be unreasonably withheld, delayed or conditioned).

Working Groups. After the signing of this Agreement, related Working Groups shall be established or designated, to conclude the Protocols which shall form integral parts of this Agreement. These are : Protocol 1 Designation of Transit Transport Routes and Facilities Protocol 2 Designation of Frontier Posts Protocol 6 Railways Border and Interchange Stations Protocol 7 Customs Transit System

Working Groups. From time to time, the JDC may establish and delegate duties to other committees, sub-committees or directed teams (each, a “Working Group”) on an “as-needed” basis to oversee particular projects or activities, which delegation shall be reflected in the minutes of the meetings of the JDC. For illustrative purposes only, the JDC may establish a Working Group focused on CMC matters and a Working Group focused on intellectual property matters. Each Working Group shall be constituted and shall operate as the JDC determines and shall report to the JDC. Each Working Group and its activities shall be subject to the oversight, review and approval of the JDC. In no event shall the authority of the Working Group exceed that specified for the JDC in Section 3.1(a). Any disagreement between the designees of Pfenex and of Jazz on a Working Group shall be referred to the JDC for resolution.

Working Groups. The Board or the President may establish or terminate working groups and other committees, juries, and task forces (collectively, "Working Groups") as necessary or desired by a majority vote. Such bodies shall have specific charges and, as appropriate, defined term limits. Unless otherwise specified in this Operating Agreement, the President shall, in consultation with relevant Working Group chairs, have the power to make all appointments of Members to serve on Working Groups. No Regional Group Working Group or member thereof shall have the power to bind Regional Group contractually, to commit Regional Group's funds, to seek funding in the name of Regional Group, or to speak officially for Regional Group without explicit written approval of the Board.

Working Groups. To the extent necessary and justified, the Trade Committee may establish a working group with the aim of performing, among others, the following tasks: (a) discussing regulatory issues concerning establishment, trade in services and electronic commerce; (b) proposing guidelines and strategies enabling the signatory Andean Countries to become a safe harbour for the protection of personal data. To this end, the working group shall adopt a cooperation agenda that shall define priority aspects for accomplishing that purpose, especially regarding the respective homologation processes of data protection systems; (c) seeking the necessary mechanisms to address the aspects covered under Article 162; (d) recommending mechanisms to assist Micro and SMEs in overcoming obstacles faced by them in the use of electronic commerce; (e) improving the security of electronic transactions and electronic government, among others; (f) encouraging the participation of the private sector in training and adoption of codes of conduct, contract models, guidelines and compliance mechanisms for electronic commerce, together with active participation in fora organised between the Parties;

Working Groups. From time to time during the Commitment Term, the JCC may establish and delegate duties to other committees, sub-committees, or directed teams (each, a “Working Group”) on an “as needed” basis to oversee particular projects or activities. Each such Working Group shall be constituted and shall operate as the JCC determines; provided that each Working Group shall have [***] from each Party except as otherwise mutually agreed by the Parties. Working Groups may be established on an ad hoc basis as the JCC shall determine. Each Working Group and its activities shall be subject to the oversight, review and approval of, and shall report to the JCC. The authority of any Working Group shall never exceed that specified for the JCC under this Article 2.

Working Groups. From time to time, the JSC may establish a working group (each, a “Working Group”) to oversee particular projects or activities. Each Working Group shall undertake the activities delegated to it by the JSC. During the process of establishing each Working Group, such Working Group and the JSC shall agree regarding which matters such Working Group will resolve on its own and which matters such Working Group will advise the JSC regarding (and with respect to which such advice-specific matters the JSC will resolve).
