XIV INDEMNIFICATION AND HOLD HARMLESS OBLIGATION Clause Samples

The Indemnification and Hold Harmless Obligation clause requires one party to compensate the other for losses, damages, or liabilities arising from specific actions or omissions, and to protect them from related legal claims. In practice, this means if one party causes harm or is sued due to their conduct under the agreement, they must cover the costs and defend the other party against such claims. This clause is essential for allocating risk between the parties and ensuring that the party responsible for a loss bears the financial consequences, thereby protecting the other party from unexpected legal or financial burdens.
