▇▇▇▇▇▇▇▇-▇▇▇▇▇ Certification. (a) Each Form 10-K shall include a ▇▇▇▇▇▇▇▇-▇▇▇▇▇ Certification. No later than March 15 of each year, beginning in 2007, the Master Servicer and the Indenture Trustee shall (unless it is the Certifying Person), and the Master Servicer shall cause each subservicer and Reporting Subcontractor and the Indenture Trustee shall cause each Reporting Subcontractor to, provide to the Certifying Person a Performance Certification on which the Certification Parties may reasonably rely. (b) The senior officer in charge of the servicing function of the Master Servicer shall serve as the Certifying Person on behalf of the Trust. Neither the Master Servicer nor the Depositor will request delivery of a certification under this Section unless the Depositor is required under the Exchange Act to file an annual report on Form 10-K with respect to the Trust. If before the filing date of the Form 10-K in March of each year, a Responsible Officer of the Indenture Trustee or the Depositor has actual knowledge of information material to the ▇▇▇▇▇▇▇▇-▇▇▇▇▇ Certification, the Indenture Trustee or the Depositor, as the case may be, shall promptly notify the Master Servicer and the Depositor. The respective parties to this Agreement agree to cooperate with all reasonable requests made by any Certifying Person or Certification Party in connection with the Certifying Person's or Certification Party's attempt to conduct any due diligence that it reasonably believes to be appropriate to allow it to deliver any ▇▇▇▇▇▇▇▇-▇▇▇▇▇ Certification with respect to the Trust.

The respective parties to this Agreement hereto agree to cooperate with all reasonable requests made by any Certifying Person or Certification Party in connection with the Certifying such Person's or Certification Party's attempt to conduct any due diligence that it such Person reasonably believes to be appropriate in order to allow it to deliver any ▇▇▇▇▇▇▇▇-▇▇▇▇▇ Certification or portion thereof with respect to the TrustTrust Fund.

The senior officer of the Trustee in charge of the servicing function of shall sign the Master Servicer ▇▇▇▇▇▇▇▇-▇▇▇▇▇ Certification and shall serve as the Certifying Person on behalf of the TrustTrust Fund. Neither the Master Servicer Trustee nor the Depositor will request delivery of a certification under this Section clause unless the Depositor is required under the Exchange Act to file an annual report on Form 10-K with respect to the TrustTrust Fund. The respective parties to this Agreement hereto agree to cooperate with all reasonable requests made by any Certifying Person or Certification Party in connection with the Certifying such Person's or Certification Party's ’s attempt to conduct any due diligence that it such Person reasonably believes to be appropriate in order to allow it to deliver any ▇▇▇▇▇▇▇▇-▇▇▇▇▇ Certification or portion thereof with respect to the TrustTrust Fund.

▇▇▇▇▇▇▇▇-▇▇▇▇▇ Certification. (a) Each Form 10-K shall include a certification (the "▇▇▇▇▇▇▇▇-▇▇▇▇▇ Certification") required by Rules 13a-14(d) and 15d-14(d) under the Exchange Act (pursuant to Section 302 of the ▇▇▇▇▇▇▇▇-▇▇▇▇▇ Act of 2002 and the rules and regulations of the Commission promulgated thereunder (including any interpretations thereof by the Commission's staff)). No later than March 15 of each year, beginning in 2007, the Master Servicer and the Indenture Trustee shall (unless it such person is the Certifying Person), and the Master Servicer shall cause each subservicer and Reporting Subcontractor and the Indenture Trustee shall cause each Reporting Subcontractor to, provide to the Person who signs the ▇▇▇▇▇▇▇▇-▇▇▇▇▇ Certification (the "Certifying Person Person") a certification (each, a "Performance Certification Certification"), in the form attached hereto as Exhibit R on which the Certifying Person, the entity for which the Certifying Person acts as an officer, and such entity's officers, directors and Affiliates (collectively with the Certifying Person, "Certification Parties may Parties") can reasonably rely. (b) . The senior officer in charge of the servicing function of the Master Servicer shall serve as the Certifying Person on behalf of the TrustTrust Fund. Neither the Master Servicer nor the Depositor will request delivery of a certification under this Section clause unless the Depositor is required under the Exchange Act to file an annual report on Form 10-K with respect to the TrustTrust Fund. If before In the event that prior to the filing date of the Form 10-K in March of each year, a Responsible Officer of the Indenture Trustee or the Depositor has actual knowledge of information material to the ▇▇▇▇▇▇▇▇-▇▇▇▇▇ Certification, the Indenture Trustee or the Depositor, as the case may be, shall promptly notify the Master Servicer and the Depositor. The respective parties to this Agreement hereto agree to cooperate with all reasonable requests made by any Certifying Person or Certification Party in connection with the Certifying such Person's or Certification Party's attempt to conduct any due diligence that it such Person reasonably believes to be appropriate in order to allow it to deliver any ▇▇▇▇▇▇▇▇-▇▇▇▇▇ Certification or portion thereof with respect to the Trust.Trust Fund. 106

No later than March 15 of each year, beginning in 20072009, the Master Servicer and the Indenture Trustee shall (unless it is the Certifying Person)shall, and the Master Servicer shall cause each subservicer and Reporting Subcontractor and the Indenture Trustee shall cause each Reporting Subcontractor to, provide to the Person who signs the ▇▇▇▇▇▇▇▇-▇▇▇▇▇ Certification (the “Certifying Person Person”) a certification (each, a “Performance Certification Certification”), in the form attached hereto as Exhibit H, on which the Certifying Person, the entity for which the Certifying Person acts as an officer, and such entity’s officers, directors and Affiliates (collectively with the Certifying Person, “Certification Parties may Parties”) can reasonably rely. (b) . The senior officer in charge of the servicing function securitization of the Master Servicer Depositor shall serve as the Certifying Person on behalf of the TrustTrust Fund. Neither the Master Servicer Trustee nor the Depositor will request delivery of a certification under this Section clause unless the Depositor is required under the Exchange Act to file an annual report on Form 10-K with respect to the TrustTrust Fund. No later than March 15 of each year, beginning in 2007, the Master Servicer and the Indenture Trustee shall provide to the Person who signs the ▇▇▇▇▇▇▇▇-▇▇▇▇▇ Certification (the “Certifying Person”) a certification (each, a “Performance Certification”), substantially in the form attached hereto as Exhibit I, unless it such other form is mutually agreed upon, on which the Certifying Person), and the Master Servicer shall cause each subservicer and Reporting Subcontractor and the Indenture Trustee shall cause each Reporting Subcontractor to, provide to entity for which the Certifying Person a Performance acts as an officer, and such entity’s officers, directors and Affiliates (collectively with the Certifying Person, “Certification on which the Certification Parties may Parties”) can reasonably rely.
