CLEC Certification Clause Samples

CLEC Certification. 7.1 Notwithstanding any other provision of this Agreement, CenturyLink shall have no obligation to perform under this Agreement until such time as CLEC has obtained such FCC and Commission authorization(s) as may be required by Applicable Law for conducting business in the State as a competitive local exchange carrier. CLEC shall not be permitted to establish its account nor place any orders under this Agreement until it has obtained such authorization and provided proof of such to CenturyLink. At any time during the life of this Agreement, CLEC will provide a copy of its current Certificate of Operating Authority or other evidence of its status to CenturyLink upon request. CLEC’s failure to maintain such authorization(s) as may be required by Applicable Law for conducting business in the State as a CLEC shall be considered a Default of Agreement.

CLEC Certification. 1.1 TWTC agrees to provide AT&T in writing TWTC’s CLEC certification for all states covered by this Agreement except Kentucky prior to AT&T filing this Agreement with the appropriate Commission for approval. 1.2 To the extent TWTC is not certified as a CLEC in each state covered by this Agreement as of the execution hereof, TWTC may not purchase services hereunder in that state. TWTC will notify AT&T in writing and provide CLEC certification when it becomes certified to operate in any other state covered by this Agreement and upon receipt thereof, TWTC may thereafter purchase services pursuant to this Agreement in that state. AT&T will file this Agreement with the appropriate Commission for approval. 1.3 Should TWTC’s certification in any state be rescinded or otherwise terminated, AT&T may, at its election, terminate this Agreement immediately and all monies owed on all outstanding invoices shall become due, and AT&T may refuse to provide services hereunder in that state until certification is reinstated in that state, provided such notification is made prior to expiration of the initial term of this Agreement. TWTC shall provide an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement.

CLEC Certification. 1.1 Syniverse agrees to provide AT&T in writing Syniverse’s CLEC certification from the Commission for all states covered by this Agreement except Kentucky prior to AT&T filing this Agreement with the appropriate Commission for approval. Additionally, Syniverse shall provide to AT&T an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement. 1.2 To the extent Syniverse is not certified as a CLEC in each state covered by this Agreement as of the execution hereof, Syniverse may not purchase services hereunder in that state. Syniverse will notify AT&T in writing and provide CLEC certification from the Commission when it becomes certified to operate in, as well as an effective certification to do business issued by the secretary of state or equivalent authority for, any other state covered by this Agreement. Upon receipt thereof, AT&T will file this Agreement in that state, and Syniverse may purchase services pursuant to this Agreement in that state, subject to establishing appropriate accounts in the additional state as described in Attachment 7. 1.3 Should Syniverse’s certification in any state be rescinded or otherwise terminated, AT&T may, at its election, suspend or terminate this Agreement immediately and all monies owed on all outstanding invoices for services provided in that state shall become due, or AT&T may refuse to provide services hereunder in that state until certification is reinstated in that state, provided such notification is made prior to expiration of the term of this Agreement. Syniverse shall provide an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement.

CLEC Certification. 1.1 CTI agrees to provide BellSouth in writing CTI’s CLEC certification from the Commission for all states covered by this Agreement prior to BellSouth filing this Agreement with the appropriate Commission for approval. Additionally, CTI shall provide to BellSouth an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement. 1.2 To the extent CTI is not certified as a CLEC in each state covered by this Agreement as of the execution hereof, CTI may not purchase services hereunder in that state. CTI will notify BellSouth in writing and provide CLEC certification from the Commission when it becomes certified to operate in, as well as an effective certification to do business issued by the secretary of state or equivalent authority for, any other state covered by this Agreement. Upon receipt thereof, BellSouth will file this Agreement in that state, and CTI may purchase services pursuant to this Agreement in that state, subject to establishing appropriate accounts in the additional state as described in Attachment 3. 1.3 Should CTI’s certification in any state be rescinded or otherwise terminated, BellSouth may, at its election, suspend or terminate this Agreement immediately and all monies owed on all outstanding invoices for services provided in that state shall become due, or BellSouth may refuse to provide services hereunder in that state until certification is reinstated in that state, provided such notification is made prior to expiration of the term of this Agreement. CTI shall provide an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement.

CLEC Certification. 1.1 Prior to execution of this Agreement, CCI agrees to provide ▇▇▇▇▇▇▇▇▇ in writing CCI’s CLEC certification for all states covered by this Agreement except Kentucky prior to BellSouth filing this Agreement with the appropriate Commission for approval. 1.2 To the extent CCI is not certified as a CLEC in each state covered by this Agreement as of the execution hereof, CCI will notify BellSouth in writing and provide CLEC certification when it becomes certified to operate in any other state covered by this Agreement. Upon notification, BellSouth will file this Agreement with the appropriate Commission for approval.

CLEC Certification. 1.1 Image Access agrees to provide BellSouth in writing Image Access’s CLEC certification for all states covered by this Agreement except Kentucky prior to BellSouth filing this Agreement with the appropriate Commission for approval. 1.2 To the extent Image Access is not certified as a CLEC in each state covered by this Agreement as of the execution hereof, Image Access may not purchase services hereunder in that state. Image Access will notify BellSouth in writing and provide CLEC certification when it becomes certified to operate in any other state covered by this Agreement and upon receipt thereof, Image Access may thereafter purchase services pursuant to this Agreement in that state. BellSouth will file this Agreement with the appropriate Commission for approval. Image Access shall provide an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement. 1.3 Should Image Access’s Commission or secretary of state (or equivalent authority) certification in any state be rescinded or otherwise terminated, BellSouth may, at its election, suspend or terminate this Agreement immediately in such state and all monies owed on all outstanding invoices for services provided in such state shall become due. Additionally, BellSouth may refuse to provide services hereunder in that state until certification is reinstated in that state, provided such notification is made prior to expiration of the term of this Agreement. Image Access shall provide an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement.

CLEC Certification. 1.1 Credit Loans agrees to provide BellSouth in writing Credit Loans’s CLEC certification for all states covered by this Agreement except Kentucky prior to BellSouth filing this Agreement with the appropriate Commission for approval. 1.2 To the extent Credit Loans is not certified as a CLEC in each state covered by this Agreement as of the execution hereof, Credit Loans may not purchase services hereunder in that state. Credit Loans will notify BellSouth in writing and provide CLEC certification when it becomes certified to operate in any other state covered by this Agreement and upon receipt thereof, Credit Loans may thereafter purchase services pursuant to this Agreement in that state. BellSouth will file this Agreement with the appropriate Commission for approval. 1.3 Should Credit Loans’s certification in any state be rescinded or otherwise terminated, BellSouth may, at its election, terminate this Agreement immediately and all monies owed on all outstanding invoices shall become due, or BellSouth may refuse to provide services hereunder in that state until certification is reinstated in that state, provided such notification is made prior to expiration of the term of this Agreement. Credit Loans shall provide an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement.

CLEC Certification. 1.1 OneTone agrees to provide BellSouth in writing OneTone’s CLEC certification for all states covered by this Agreement except Kentucky prior to BellSouth filing this Agreement with the appropriate Commission for approval. 1.2 To the extent OneTone is not certified as a CLEC in each state covered by this Agreement as of the execution hereof, OneTone may not purchase services hereunder in that state. OneTone will notify BellSouth in writing and provide CLEC certification when it becomes certified to operate in any other state covered by this Agreement and upon receipt thereof, OneTone may thereafter purchase services pursuant to this Agreement in that state. BellSouth will file this Agreement with the appropriate Commission for approval. 1.3 Should OneTone’s certification in any state be rescinded or otherwise terminated, BellSouth may, at its election, terminate this Agreement immediately and all monies owed on all outstanding invoices shall become due, or BellSouth may refuse to provide services hereunder in that state until certification is reinstated in that state, provided such notification is made prior to expiration of the term of this Agreement. OneTone shall provide an effective certification to do business issued by the secretary of state or equivalent authority in each state covered by this Agreement.

CLEC Certification. 1.1 <<customer_name>> agrees to provide BellSouth in writing the certificate number or docket number, for the docket pending certification, for all states covered by this Agreement except Kentucky prior to BellSouth filing this Agreement with the appropriate commission for approval.
