EXECUTION VERSION LOCK-UP AGREEMENT This LOCK-UP AGREEMENT (this “Agreement”), dated as of August 2, 2019, is entered into by and among SEACOR Holdings Inc., a Delaware corporation (“SEACOR”), and ACP III Tankers, LLC, a Delaware limited liability company (“Seller”). Capitalized terms used but not defined herein shall have the meaning given to such terms in the Purchase Agreement (as defined below).
