WHEREAS, the City of Faribault, a Minnesota municipal corporation (“City”), and County of Rice, a political subdivision under the laws of the State of Minnesota (the “Developer”) have entered into a certain Development Agreement (the “Agreement”) dated the day of , 2024, and recorded in the office of the County Recorder or Registrar in Rice County, Minnesota, as Document No. , which Agreement contained certain covenants and restrictions regarding completion of the Minimum Improvements, as defined in the Agreement; and
