SALE AND SERVICING AGREEMENT, is made and entered into as of May 29, 2025 (as amended, restated, supplemented or otherwise modified and in effect from time to time, this “Agreement”), by and among ACM AUTO TRUST 2025-2, a Delaware statutory trust (the “Issuer”), ACM FUNDING, LLC, a Delaware limited liability company, as seller (the “Seller”), AMERICA’S CAR MART, INC., an Arkansas corporation (“America’s Car Mart”), as servicer (in such capacity, the “Servicer”), DEUTSCHE BANK NATIONAL TRUST COMPANY, a national banking association, as indenture trustee (in such capacity, the “Indenture Trustee”), as paying agent (in such capacity, the “Paying Agent”) and as calculation agent (in such capacity, the “Calculation Agent”), and SYSTEMS & SERVICES TECHNOLOGIES, INC., as backup servicer (the “Backup Servicer”).
