DEVELOPMENT AGREEMENT (this "Amendment"), is made and entered into as of and pursuant to Resolution No. 5044 adopted on May 5, 2025 ("Effective Date"), by and among the CITY OF OVERLAND PARK, KANSAS, a municipal corporation duly organized under the laws of the State of Kansas (the "City"); GALLERIA 115 INVESTORS, LLC, a Kansas limited liability company ("Galleria 115"); LENEXA LOGISTICS 5, LLC, a Kansas limited liability company ("LL5"); 115 LAND INVESTORS, LLC, a Kansas limited liability company ("115LI"); BK-GMF II, SPE, LLC, a Kansas limited liability company ("BKGMF"); GMF II LLC, a Kansas limited liability company ("GMF"); and BMG 115 INVESTORS, LLC, a Kansas limited liability company ("BMG"). Galleria 115, LL5, 115LI, BKGMF, GMF and BMG are, collectively, and jointly and severally, the "Developer" hereunder.
