This AMENDED AND RESTATED CREDIT AGREEMENT (this “Agreement”) is entered into as of December 6 2012, among EINSTEIN NOAH RESTAURANT GROUP, INC., a Delaware corporation (the “Borrower”), each other Loan Party (as defined herein) party hereto, each lender from time to time party hereto (collectively, the “Lenders” and individually, a “Lender”), and BANK OF AMERICA, N.A., as Administrative Agent, Swing Line Lender and L/C Issuer.
