As detailed in the attached investor Schedule “ D” (the “Investor Schedule” ), the advisor (the “Advisor”) on behalf of the subscribers (the “ Subscribers”) hereby irrevocably subscribes for the amounts and classes of units, as set forth in the Investor Schedule, of the Fund (collectively, the “ Units”) at a price per Unit equal to the Class Net Asset Value per Unit at the close of business on the last business day of the month this Subscription Agreement (the “ Subscription Agreement ”) is received and accepted, which amount shall represent each of the Subscribers’ committed capital, on the terms and conditions set forth in the most recent amended and restated confidential offering memorandum d ated as of January 4, 2016, as the same may be amended, supplemented or restated from time to time (the “ Offering Memorandum ”). This Agreement is entered into by and between Client (defined above) and The Economist Newspaper Limited (”The Economist”), publisher of The Economist newspaper, The Economist online and other applications and websites, with its regional offices at The Adelphi, 1-11 John Adam Street, London WC2N 6HT, United Kingdom in relation to access to Economist Content described below. Client enters into this Agreement for itself and on behalf of each user (“Authorized Users”) given access to Economist Content under it (as defined below).
