Reference is made to the Class C-2 Deposit Agreement, dated as of June 23, 2022, as amended and supplemented from time to time (as so amended and supplemented, the “Deposit Agreement”), by and among Polestar Automotive Holding UK PLC, a public limited company incorporated under the laws of England and Wales (the “Company”), Citibank, N.A., a national banking association (“Citibank”) organized and existing under the laws of the United States of America, as Depositary (the “Depositary”), and all Holders and Beneficial Owners of American Depositary Shares (the “ADSs”) issued thereunder to represented Class C-2 Shares of the Company. All capitalized terms used, but not otherwise defined herein, shall have the meaning assigned thereto in the Deposit Agreement.

Following the Effective Date for the ADS Ratio Change, each ADS will represent the right to receive thirty (30) Shares. Holders of existing ADSs as of the Effective Date will be required to surrender their existing ADSs in exchange for new ADSs and will receive one (1) new ADS for every thirty (30) existing ADSs surrendered to the Depositary.
