DEVELOPMENT FINANCE COOPERATION AGREEMENT BETWEEN SOUTH CEMENT COMPANY LIMITEDDevelopment Finance Cooperation Agreement • August 28th, 2008
On 28 August, 2008, South Cement Company Limited (“South Cement”), a subsidiary of China National Building Material Company Limited (the “Company”), and the Shanghai Branch of China Development Bank (“CDB”) entered into a development finance cooperation agreement (the “Cooperation Agreement”) which laid down the foundation for long-term business cooperation between South Cement and CDB. The Cooperation Agreement is a framework agreement pursuant to which CDB has agreed to provide credit and financial services to South Cement and its subsidiaries on mutually beneficial terms, for business development purposes. The services provided by CDB will include (but is not limited to) the provision of authorised credit facilities of RMB15 billion to South Cement between 2008 and 2013 to ensure long-term and stable financial support for South Cement’s cement industry integration, assets acquisition, reorganization, infrastructure and technological improvement, energy saving and emission reduction

At the September 12, 2016 City Council Meeting, a concern was raised regarding the provision in the Agreement that “the City agrees that, subject to annual appropriation, the City will submit applications for Federal Funding for the construction of the Route 109 Improvements, and, if such Federal Funding is approved, the City will complete the Route 109 Improvements.”
