These Enterprise Software-as-a-Service Terms of Use (“Terms of Use”) and the Offer are a legal binding agreement (“the Agreement”) between Customer and the Agilent entity issuing the Offer, (“Agilent”) when accepted by the Customer either by signing the Subscription Order Form or by issuing a purchase order. These Terms of Use shall supersede any other provisions, terms and conditions set forth by Customer, and the rights of the parties shall therefore be governed exclusively by the provisions, terms and conditions set forth herein.
