This Hardware as a Service (HWaaS) Agreement is made by and between PNG Telecommunications, Inc. (d.b.a. Powernet) an Ohio corporation with principal place of business located at 8805 Governor’s Hill Drive, Suite 250, Cincinnati, Ohio 45249 and Customer. Powernet reserves the right to change these terms and conditions at any time. Posting of the updated Master Services Agreement will constitute notice to Customer of any such changes. Changes will be effective upon posting. Customer remains responsible for regularly reviewing these terms and conditions. Customer’s continued use of the Services after the date of such changes constitutes Customer’s acceptance of and agreement to such changes.

These product terms and limited warranty apply to the Hardware sold by FM:Systems Group, LLC and/or its affiliates (“FMS”, “we”, “us” or our”) to the original end-user (“you” or “your”) for the term based right to use Hardware, and any maintenance services you purchase, both as set forth in your Order Form with FMS. Order Form means any ordering document between you and FMS or its Affiliates specifying the Hardware. Affiliates includes any entity that directly or indirectly controls, is controlled by, or is under common control with the FMS. Control shall mean direct or indirect ownership or control of more than 50% of the voting interest of the subject entity. By entering into an Order Form, an Affiliate is bound by the terms of the Agreement as if it were an original party thereto.
