THIS INTERRUPTIBLE GAS BALANCING SERVICE AGREEMENT (hereinafter referred to as the "Agreement") is made and entered into as of the 8th day of May , 2000, by and between HATTIESBURG INDUSTRIAL GAS SALES COMPANY, a Delaware corporation, (herein referred to as "Company"), operator of the Storage Facilities (as defined below) and managing general partner of the Hattiesburg Gas Storage Company, the owner of the said Storage Facilities, and, CALEDONIA POWER I, L.L.C., a Delaware company (herein referred to as "Customer") (each a “Party” and collectively the “Parties”).
