This Agreement, including any amendments executed by the authorized representatives of each party and all exhibits and referenced documents incorporated herein, constitute the entire agreement of the parties with respect to the matters contained herein. No modification or amendment of this Agreement is effective unless the modification or amendment is in writing and signed by the authorized representatives of both parties. Any prior agreements or representations, either written or oral relating to the subject matter of this Agreement not expressly set forth herein, are of no force or effect. Similarly any amendment to or any other modification of this Agreement that is not made in conformance with the terms of this Agreement shall be null and void.
