This Performance Unit-Based Award Agreement, dated as of , 2007 (this “Agreement”), is between BreitBurn GP, LLC (the “Company”), as the general partner of BreitBurn Energy Partners L.P., a Delaware limited partnership (the “Partnership”), and , an Employee of the Company or its Affiliates (the “Grantee”).
