This Lodi Energy Center Project Management and Operations Agreement (this “Agreement”), made and entered into as of this 1st day of , 2010, by and between the NORTHERN CALIFORNIA POWER AGENCY, a joint powers agency and public entity organized under the laws of the State of California (“NCPA”), and each of the undersigned entities (“Participants”, sometimes hereinafter referred to individually as “Participant” and, together with NCPA, as “Parties” or individually as “Party”).
