This Agreement (the “Agreement”) evidences the award of (i) XXXX restricted stock units of Common Stock (each, a “RSU” and, collectively, the “RSUs”) subject to a vesting schedule, and (ii) a performance award (the “Performance Award”) relating to the performance period of the Company’s fiscal years 2024-2026 (the “Performance Period”) with a target dollar amount of XXXXX (the “Target Amount”), that Perma-Pipe International Holdings, Inc., a Delaware corporation (the “Company”), has granted to you, XXXXX, effective as of XXXXX (the “Grant Date”), pursuant to the 2024 Omnibus Stock Incentive Plan (the “Plan”) and conditioned upon your agreement to the terms described below. All of the provisions of the Plan are expressly incorporated into this Agreement.
