This Agreement (the “Agreement”) dated as of September 10, 2004 is entered into by and among International Business Associates Ltd., an exempted limited liability company organized under the laws of the Turks and Caicos Islands, BWI (the “Company”), John Kean, Jr. and Stanley J.
