THIS AMENDMENT (this “Amendment”) is made as of December 20, 2022, by and between Aditxt, Inc., a Delaware corporation (the “Company”), and VStock Transfer, LLC, as warrant agent for the Company (the “Warrant Agent”), and constitutes an amendment to that certain Series C Warrant Agent Agreement, dated as of December 1, 2021, as amended (the “Warrant Agreement”), between the Company and the Warrant Agent. Capitalized terms used but not otherwise defined in this Amendment shall have the meanings given to such terms in the Warrant Agreement.
