THIS AGREEMENT (this “Agreement”) evidences a grant of time-restricted shares (“Time-Restricted Shares”) and/or performance-restricted shares (“Performance-Restricted Shares”) by Lincoln Educational Services Corporation (the “Company”) under the Lincoln Educational Services Corporation 2020 Long-Term Incentive Plan (the “Plan’’) of Company common stock, no par value per share (collectively, the “Common Stock” or the “Shares”) to the Participant named below. Unless otherwise indicated, any capitalized term used but not defined herein shall have the meaning ascribed to such term in the Plan.
