This transition agreement and release of claims (this “Agreement”) is made by and between Cornerstone OnDemand, Inc. (the “Company”), and Kirsten Helvey (“Executive”). The Company and Executive are sometimes collectively referred to herein as the “Parties” and individually referred to as a “Party.”

Kevin C. Eichler (hereafter referred to as “the Employee”) and Ultra Clean Holdings, Inc. (together with its subsidiaries hereafter referred to as “the Company”) mutually desire to define their rights and liabilities with respect to one another upon the termination of the Employee’s employment with the Company on July 29, 2016 (the “Separation Date”). In connection with your separation of employment with Avon Products, Inc. (“Avon”), Avon and you have mutually agreed to a transition arrangement, including the provision of mutual assistance during the transition period, pursuant to this Transition Agreement and General Release of Claims (this “Agreement”). In consideration of this Agreement, and subject to your compliance with the terms hereof, Avon is offering you individual separation benefits in lieu of benefits under the Avon Products, Inc. Severance Pay Plan (the “Plan”). This Agreement supersedes your offer letter with Avon dated October 19, 2012 (the “Offer Letter”), except as set forth in Paragraph 14 below.

This Transition Agreement and Release of Claims (the “Agreement”) is made by and between Paul Arling (“you”) and Universal Electronics, Inc. (the “Company”) (individually each a “Party” and collectively the “Parties”), effective on the eighth day after you have executed this Agreement, provided the revocation period set forth in Section 23 below has expired without revocation (the “Effective Date”). You must sign and return this Agreement within twenty-one (21) days of the date of your receipt of this Agreement to be eligible for the severance benefits described below.
