This is your Transition and Strategic Advisor Agreement (this “Agreement”) with HRB Professional Resources LLC, a Delaware limited liability company (the “Company”), and H&R Block, Inc., a Missouri corporation and the indirect parent corporation of the Company (“Block”). It sets forth the terms of your continued employment with the Company and its Affiliates, as defined below, as President and Chief Executive Officer of Block through December 31, 2025 and the transition of your employment to Strategic Advisor to Block through your anticipated retirement date of September 2, 2026. This Agreement supersedes and replaces in its entirety your Employment Agreement with the Company and Block dated November 4, 2021.
