This Addendum (“Addendum”) amends the license, purchase order, service or subscription agreement (“Agreement”) between any individual not-for-profit educational institution and consortium member (“Consortium Member”) of the Northeast Regional Computing Program (“NERCOMP”), and Moonami, LLC (including its affiliates and subsidiaries, “Vendor”) (collectively “Parties”), under which Vendor is selling or licensing to Consortium Member and/or its employees or students certain goods or services (“Product”). In the event of a conflict between the Agreement and/or any other agreements between the Parties, and the Addendum, the terms of this Addendum shall prevail. Any language in the Agreement restricting or eliminating the right of either party to modify its terms is hereby expressly overridden by the terms of this Addendum.
