In the event of an express conflict between a term or provision of this Agreement, the SOW and/or the MSA, the order of precedence for resolving such a conflict will be that this Agreement shall control over the SOW and the MSA, and the SOW shall control over the MSA. For the avoidance of doubt, the provisions of this Agreeme nt apply only to Client’s use of the Service (defined below), and do not apply to any other services or products provided by EdTec to Client, which shall be governed in all respects by

Contract Type FiledMarch 1st, 2021 JurisdictionTHIS WEB-BASED SERVICE ACCESS AGREEMENT (together with the Exhibits attached hereto, which are incorporated herein by reference, the “Agreement”) is made by and between EdTec Inc., a California corporation (“EdTec”) and Fenton Charter Public Schools, a California Nonprofit Public Benefit Corporation (“FCPS” or “Client”) effective as of July 1, 2021 (the “Effective Date”) and is subject to the terms of the Master Services Agreement dated May 24, 2015 between EdTec and Fenton Charter Public Schools (the “MSA”) and Statement of Work #3 thereunder (the “SOW”), both of which are incorporated herein by reference. In the event of an express conflict between a term or provision of this Agreement, the SOW and/or the MSA, the order of precedence for resolving such a conflict will be that this Agreement shall control over the SOW and the MSA, and the SOW shall control over the MSA. For the avoidance of doubt, the provisions of this Agreement apply only to FCPS’s use of the Service (defined below)
