Active Program definition

Active Program means with respect to a Gene Target and a Party, any ongoing drug discovery, development, or commercialization of a compound directed to such Gene Target being conducted by such Party (whether on its own or through a sublicensee).
Active Program means with respect to an RNA Target and a Party, any ongoing drug discovery, development, or commercialization of a compound directed to such RNA Target being conducted by such Party (whether on its own or through a sublicensee).
Active Program shall have the meaning set forth in Section 2.3(a).

Examples of Active Program in a sentence

  • Under the supervision of the Joint Steering Committee, Discovery activities to be undertaken with respect of each such Active Program shall be set forth in a research plan (each such plan, a "Research Plan") that will set forth the Parties' respective obligations with respect to such Active Program, including, workflow, deliverables, timelines, and budgets, it being understood that Novartis representatives on the Joint Steering Committee shall be subject to Novartis's standard budget procedures.

  • During the Research Term, Novartis shall pay, or cause to be paid, to Alnylam an infrastructure fee (the "Infrastructure Fee") of [**] dollars ($[**]) per Contract Quarter for each Active Program meeting both of the following criteria: (i) such Active Program was active for at least [**] during such Contract Quarter, and (ii) Alnylam provided at least [**] within such Contract Quarter for such Active Program.

  • Except as otherwise expressly permitted by this Agreement, Isis shall not (i) conduct any research on any Drug Discovery Target or any ASO Compound directed thereto, outside the course of the Collaboration either on its own or for a Third Party or (ii) grant or assign any rights to a Third Party with respect to any Drug Discovery Target or ASO Compound directed thereto, in each case, while such Drug Discovery Target is the subject of an Active Program.

  • For the avoidance of doubt, following the Joint Steering Committee's election to deem an Active Program as an Abandoned Program, Novartis's rights under the "Discovered RNAi Compound(s)," "Collaboration Product(s)," and "Selected Target(s)" that are the subject of such Abandoned Program shall terminate unless and until such Abandoned Program subsequently becomes an Active Program pursuant to Sections 2.3(b) or 2.6(c).

  • Alnylam shall, within [**] following the end of each Contract Quarter, deliver to Novartis a report stating the FTEs that worked on each Active Program and the Active Programs that it actively worked on with respect to such Contract Quarter.


More Definitions of Active Program

Active Program means a developmental program advancing a distinct diagnostic or therapeutic application covered in the Licensed Patents (a) which is the subject of a sublicense or (b) on which Licensee itself is actively pursuing development or on which an IND Phase I, II or Ill has been issued.
Active Program means a Program with respect to which, as of a given time, at least one of the following is true: (a) any Aurigene activities under the R&D Plan for such Program are ongoing; (b) after Curis has exercised its Option for such Program, any activity with respect to a Program Compound or Product from such Program for which Aurigene is responsible under the Development Plan is either ongoing or has not yet been initiated, provided, however, that non-initiation of such activity under the Development Plan is not due to failure by Curis to perform any of its obligations under the Development Plan or this Agreement; (c) after Curis has exercised its Option with respect to such Program, a Program Compound or Product from such Program is being actively developed by one or more of Curis, an Affiliate of Curis or a Sublicensee, provided, however, that if Curis’ failure to actively develop a Program Compound or Product from such Program is due to failure by Aurigene to perform any of its obligations under the Development Plan or this Agreement, then such failure by Curis shall not cause the applicable Program to cease being considered an Active Program; or (d) after Curis has exercised its Option for such Program, any Product from such Program is being actively commercialized in a Major Market by one or more of Curis, an Affiliate of Curis or a Sublicensee.
Active Program means any research, development or commercialization activities by RBNC or its Affiliates intended to advance and obtain the regulatory approval of and commercialize a Collaboration Derived Product for the treatment of a CNS Disease in which [***]. For clarity, [***].

Active Program means with respect to a gene target, any ongoing drug discovery, development, or commercialization of a compound by Isis (either on its own or in collaboration with a Third Party) directed to such gene target.
Active Program means with respect to a Gene Target, an Ercole-AVI Exclusive Target or an AVI Exclusive Target, any reasonable (as defined below) ongoing research, development, or commercialization (including research, development or commercialization activities conducted by a Third Party pursuant to a valid sublicense under this Agreement), of a Product directed to such Gene Target. For purposes of clarification, research, development and commercialization efforts with respect to an Ercole-AVI Exclusive Target or an AVI Exclusive Target or Product shall be deemed reasonable if the applicable Party’s research and development efforts with respect to such Gene Target or Product are reasonably comparable with other projects in such Party’s portfolio at a similar stage of development and of similar market potential. Reasonable research, development and commercialization efforts should include preclinical studies, human clinical studies and development aimed at obtaining regulatory approval for marketing a Product that modulates such Gene Target.
