Additional Developments definition

Additional Developments shall have the meaning set forth in Section 5.1(c) (Additional Developments).
Additional Developments means any casino hotel resorts, retail complexes, stand-alone casinos, stand-alone hotels, apart-hotels or condominiums or any other development or project developed on properties not located within any Site, which developments will be owned, operated and maintained (other than any portion thereof (which may be the entirety of the development in the case of a stand-alone casino) comprising a casino or gaming area, which shall be operated by the Company) by Additional Development Excluded Subsidiaries and/or other Persons that are not Loan Parties (with all costs and liabilities related to such sites (other than the specific liabilities permitted to be incurred by the Company in connection with its operation of the associated Excluded Casino as set forth in subsection 6.14) to be borne exclusively by the Additional Development Excluded Subsidiaries and/or such other Persons with no recourse to the Loan Parties except as otherwise permitted by subsection 7.3).
Additional Developments means any casino hotel resorts, retail complexes, or stand-alone casinos developed on properties not located within any Site, which developments will be owned, operated and maintained (other than any portion thereof (which may be the entirety of the development in the case of a stand-alone casino) comprising a casino or gaming area, which shall be operated by the Company) by Additional Development Excluded Subsidiaries and/or other Persons that are not Loan Parties (with all costs and liabilities related to such sites (other than the specific liabilities permitted to be incurred by the Company in connection with its operation of the associated Excluded Casino as set forth in Subsection 6.14) to be borne exclusively by the Additional Development Excluded Subsidiaries and/or such other Persons with no recourse to the Loan Parties except as otherwise permitted by Subsection 7.3).

Examples of Additional Developments in a sentence

  • Each party shall own all rights, title and interest in all Additional Developments that it may develop.

Additional Developments means any casino hotel resorts, retail complexes, or standalone casinos developed on properties not located within any Site (as defined in the Credit Agreement), which developments will be owned, operated and maintained (other than any portion thereof (which may be the entirety of the development in the case of a stand-alone casino) comprising a casino or gaming area, which shall be operated by VML) by Additional Development Excluded Subsidiaries and/or other Persons other than the Issuer or any Restricted Subsidiary (with all costs and liabilities related to such sites to be borne exclusively by the Additional Development Excluded Subsidiaries and/or such other Persons with no recourse to the Issuer or any Restricted Subsidiary except as otherwise permitted by these Terms and Conditions). An Affiliate of any specified person means any other person directly or indirectly controlling or controlled by or under direct or indirect common control with such specified person. With respect to any Bondholder, a Person shall be deemed to be “controlled by” another Person if such other Person possesses, directly or indirectly, power to vote 51% or more of the securities (on a fully diluted basis) having ordinary voting power for the election of directors, managing general partners or managers, as the case may be. With respect to all other Persons, “control” (including, with correlative meanings, the terms “controlling”, “controlled by” and “under common control with”), as applied to any such other Person, means the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of that Person, whether through the ownership of voting securities or by contract or otherwise; provided, however, that so long as no other Person or group of Persons beneficially owns a majority of voting securities of such Person, the beneficial owner of 20% or more of the voting securities of a Person shall be deemed to have control.
