The Subscriber agrees to deliver to the Corporation, not later than the Closing Time: (a) this duly completed and executed Subscription Agreement, including all applicable Schedules hereto and Appendices thereto; and (b) the Aggregate Subscription Amount subscribed for under this Subscription Agreement in accordance with the Instructions on the Cover Page or payment of the same amount in such other manner as is acceptable to the Corporation.
If this Subscription Agreement is rejected in whole, any cheque(s) or bank draft(s) delivered by the Subscriber to the Corporation on account of the Aggregate Subscription Amount for the Preferred Shares subscribed for will be promptly returned to the Subscriber without interest.
The Company and the Subsidiaries are insured by insurers of recognized financial responsibility against such losses and risks and in such amounts as are prudent and customary in the businesses in which the Company and the Subsidiaries are engaged, including, but not limited to, directors and officers insurance coverage at least equal to the Aggregate Subscription Amount.
The Purchaser hereby appoints the Manager to act on behalf of the Purchaser and provides its consent and direction, as set out in Schedule B, to permit the Manager to invest the Aggregate Subscription Amount in the Class I Units of the CI US Money Market Fund and thereafter to redeem, all or part of the Purchaser’s investment in the CI US Money Market Fund, in order for the Fund to comply with capital calls from the Fund’s underlying investments.
If this Subscription Agreement is rejected in whole, any certified cheque(s) or bank draft(s) delivered by the Subscriber to the Agent on account of the Aggregate Subscription Amount for the Units subscribed for will be promptly returned to the Subscriber without interest.
