  • Upon the Swap Contract Administrator obtaining actual knowledge of the rating of the Counterparty falling below the Approved Rating Thresholds (as defined in the Swap Contract), the Swap Contract Administrator, at the direction of the Trustee, shall negotiate an ISDA Credit Support Annex with the Counterparty that meets the terms of the Swap Contract.

  • Upon the Swap Trustee obtaining actual knowledge of the rating of the Swap Counterparty falling below the Approved Rating Thresholds (as defined in the Swap Contract), the Swap Trustee shall negotiate an ISDA Credit Support Annex with the Swap Counterparty that meets the terms of the Swap Contract.
