Class D Warrant definition

Class D Warrant means the Company’s Class D Warrants issued on the Issuance Date.
Class D Warrant means the meaning specified in Section 2.1.
Class D Warrant has the meaning given to such term in Section 6.1(c)(iii).

Examples of Class D Warrant in a sentence

  • In the event of any conflict between the provisions of this Amendment and the Class D Warrant, the provisions of this Amendment shall govern.

  • Except as specifically amended by this Amendment, all other provisions of the Class D Warrant shall remain in full force and effect.

  • This Amendment shall not constitute or operate as a waiver of, or estoppel with respect to, any provisions of the Class D Warrant by either party hereto.

  • For the purposes of this Class D Warrant only, firm purchase orders or purchase agreements from purchasers seeking shipment of goods by December 31, 1999, and which are accompanied by at least a 10% deposit, shall be deemed to be December 1999 sales.

  • Each Class D Warrant held of record prior to such adjustment of the number of Class D Warrants shall become that number of Class D Warrants (calculated to the nearest tenth) determined by multiplying the number one by a fraction, the numerator of which shall be the Purchase Price in effect immediately prior to such adjustment and the denominator of which shall be the Purchase Price in effect immediately after such adjustment.

  • This Warrant Certificate and each Class D Warrant represented hereby are issued pursuant to, and are subject in all respects to, the terms and conditions set forth in the Warrant Agreement (the "Warrant Agreement"), dated as of May 20, 1997, by and among the Company, the Warrant Agent and Paramount Capital, Inc.

  • If the Company shall purchase or acquire any Class D Warrant or Class D Warrants, the Warrant Certificate or Warrant Certificates evidencing the same, by redemption or otherwise, shall thereupon be delivered to the Warrant Agent and canceled by it and retired.

  • As soon as practicable on or after the Exercise Date the Warrant Agent shall deposit the proceeds received from the exercise of a Class D Warrant and shall notify the Company in writing of the exercise of the Class D Warrants.

Related to Class D Warrant

  • Class B Warrants means Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Class B Warrants shall be exercisable immediately and shall expire five years from the date of issuance unless previously exercised in full, in the form of Exhibit C attached hereto.

  • Class A Warrants means, collectively, the Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Warrants shall be exercisable immediately and have a term of exercise equal to five (5) years, in the form of Exhibit A attached hereto.

  • Series D Warrants means, collectively, the Series D Common Stock purchase warrants delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which shall be exercisable [on and after the Stockholder Approval Date]2 and have a term of exercise equal to eighteen (18) months after the initial exercise date, in the form of Exhibit B-2 attached hereto.

  • Series B Warrants means, collectively, the Series B Common Stock purchase warrants delivered to the Purchasers at Closing in accordance with Section 2.2(a) hereof, which Series B Warrants shall be exercisable immediately and have a term of exercise equal to 18 months, in the form of Exhibit D attached hereto.

  • Class C Shares means shares of the Class C Common Stock.
