Class D Warrants definition

Class D Warrants means, collectively, the Class D Common Stock purchase warrants, delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which Class D Warrants shall be exercisable immediately after issuance and will expire three years after the Closing Date in the form of Exhibit B attached hereto.
Class D Warrants means the Class D Warrants issued to Shattan pursuant to the First Parthenon Purchase Agreement.

  • Each Class D Warrant held of record prior to such adjustment of the number of Class D Warrants shall become that number of Class D Warrants (calculated to the nearest tenth) determined by multiplying the number one by a fraction, the numerator of which shall be the Purchase Price in effect immediately prior to such adjustment and the denominator of which shall be the Purchase Price in effect immediately after such adjustment.

  • All rights of action with respect to this Agreement are vested in the respective Registered Holders of the Class D Warrants, and any Registered Holder of a Class D Warrant, without consent of the Warrant Agent or of the holder of any other Class D Warrant, may, in his own behalf and for his own benefit, enforce against the Company his right to exercise his Class D Warrants for the purchase of shares of Common Stock in the manner provided in the Warrant Certificate and this Agreement.


More Definitions of Class D Warrants

Class D Warrants means, collectively, the Common Stock purchase warrants delivered to the Underwriters in accordance with Section 2.1(a)(iv) and Section 2.2, which Class D Warrants shall be exercisable immediately upon issuance and have a term of exercise equal to one (1) year, in the form of Exhibit G attached hereto.
