Unless the Parties agree otherwise in writing, the Company shall solely own all Intellectual Property rights in any creation of or improvement to the look, feel, content, design and collateral aesthetics of the Company Credit Cards, Credit Card Documentation, the Program Website, Solicitation Materials and any other communications to Cardholders created by either Party, except for Bank Licensed Marks that appear on any of the foregoing.
The Bank shall maintain a disaster recovery plan that complies with Applicable Law and Industry Standards and have in place sufficient back-up Systems, equipment, facilities and trained personnel to implement such disaster recovery plan so as to perform its obligations to Cardholders pursuant to the Credit Card Documentation and service the Accounts continuously through a disaster in a manner consistent with such plan.
Such notices shall be in the form approved by the Parties, which approval will not be unreasonably withheld, conditioned or delayed, and the Company shall ensure that such notices will comply with all requirements of Applicable Law, all as if the notices were Credit Card Documentation.
By way of example and not of limitation, a Party shall not be a joint owner of any Intellectual Property in any marketing materials to the extent its contribution thereto consists solely of review, approval or modification of such materials to ensure compliance with Applicable Law or Credit Card Documentation.

The Bank shall, directly or through an Affiliate, Active.15844721.1 maintain a business continuity and disaster recovery plan and have in place sufficient back-up Systems, equipment, facilities and trained personnel to implement such business continuity and disaster recovery plan so as to perform its obligations to Cardholders pursuant to the Credit Card Documentation and service the Accounts and Program and perform its obligations under this Agreement continuously through a disaster.
If a request or requirement (as applicable) of the Company with regard to any Credit Card Documentation or Solicitation Materials requires a variation from the Bank's standard specifications, and such variation causes an increase in any cost of the Bank, the Company shall bear the additional expense.
Out-of-pocket costs incurred by the Bank for the printing and delivery of Solicitation Materials (but not any costs incurred with respect to the design and development of the Solicitation Materials by the Bank or the design, development, printing or delivery of the Credit Card Documentation, which shall be borne solely by the Bank without reimbursement) shall be deducted from the Bank’s commitment to the Joint Program Commitment.
