Current Allocation definition

Current Allocation means the product of (A) 0.0396%, multiplied by (B) the number of shares of common stock issued and outstanding as of the applicable date. For clarity, (X) the applicable date for each newly elected/appointed director shall be the Appointment Date and (Y) the applicable date for each Annual Option shall be the date of the applicable annual meeting of stockholders.
Current Allocation shall, for any Taxable Period, mean the amount of the Group's Federal Income Tax liability for such period which is allocated to each Group member under Regulations Section 1.1502-33(d)(2)(ii) and 1.1552-1(a)(2). For purposes of this Agreement, the "fixed percentage" referred to in Regulations Section 1.1502-33(d)(2)(ii)(b) shall be 100%.
Current Allocation shall be the fleet of C20 Chassis and C40 Chassis for each subsequent year of the Agreement based on the TPI Market Plan Requirement. In the event that the Current Allocation is less than the prior year's allocation, and APL incurs early termination penalties on Chassis which LTS and APL mutually agree were required to be leased to fulfill previous TPI Market Plan Requirements, LTS shall bear the cost of those early termination penalties. At APL's sole option, to the extent that APL can absorb any Chassis into its own fleet, it will do so. When the Current Allocation results in an increase in the fleet size, and if, due to market conditions and non-availability of Chassis, APL is unable to supply all Chassis in excess of the prior year's allocation, APL shall work with LTS to obtain as many Chassis as practically and economically possible.

  • RemainCo and SpinCo shall apportion and allocate any Tax Refund realized as a result of an amendment of or a Final Determination with respect to any RemainCo Prepared Pre-Spin/Straddle Mixed Return or SpinCo Prepared Pre-Spin/Straddle Nonmixed Return, as applicable, in the same proportion as the liability for the Taxes with respect to such Tax Return was apportioned and allocated pursuant to the Current Allocation Methodology.

  • Integra shall apportion and allocate any Tax Refund realized as a result of a Final Determination with respect to any Integra Prepared Pre-Spin/Straddle Mixed Return filed pursuant to Section 2.1(a)(i) and Section 2.1(a)(ii) in the same proportion as the liability for the Taxes with respect to such Tax Return was apportioned and allocated pursuant to the Current Allocation Methodology.

  • If LTS' use exceeds the Current Allocation of Chassis during one APL accounting period, APL shall so advise LTS.

  • In the event of a Change of Control, the repayment schedule for the 2000 Renewal ESOP Note may not be extended in any event, and neither the "Current Allocation Schedule" nor the "Revised Allocation Schedule" may be extended (but may be accelerated) for any reason, even if both the Company and the Trustee agree to such extension.

  • If APL supplies less than the Current Allocation for a consecutive second APL accounting period, the parties shall discuss remedies to address the shortage within five (5) days after the receipt of data by LTS for that APL accounting period.

  • During each year, LTS may notify APL of its request in writing for additional Chassis beyond the Current Allocation for that year and APL shall have the option, but not the obligation, to supply such additional Chassis under this Chassis Sublet.

  • Asset Allocation The following single issuer limits shall apply on a market value basis, with exception of Money-Market funds and US Government guaranteed securities, which may be held without limit:

  • Percentage Allocation is defined in Section 4.3(b)(ii)(y).

  • Required Allocations means (a) any limitation imposed on any allocation of Net Losses or Net Termination Losses under Section 6.1(b) or 6.1(c)(ii) and (b) any allocation of an item of income, gain, loss or deduction pursuant to Section 6.1(d)(i), 6.1(d)(ii), 6.1(d)(iv), 6.1(d)(vii) or 6.1(d)(ix).
